This INDEPENDENT CONTRACTOR ENGAGEMENT AGREEMENT (“Agreement”) is made and entered into as of [insert date], by and between [INSERT THE NAME OF YOUR TRAVEL AGENCY] (the “Company”), with its principal place of business located at [Insert address of your Travel Agency], and [Insert name of the Agent] (“Agent”), an independent contractor whose address for the purposes of this agreement shall be [insert address].

RECITALS

WHEREAS the Agency is [insert a brief description of what your Travel Agency does]; and

WHEREAS the Agent is [insert details] who shall be contracted to perform certain duties and responsibilities for the Agency; and

WHEREAS the Agency desires to engage the services of Agent and the Agent has agreed to perform the services as provided in this agreement for the company. The Parties have agreed that the provision of content shall be made on the terms and conditions of this Agreement.

  1. Relationship:
  • The Agency hereby engages the Agent as an independent contractor to provide travel agent services.
  • Agent shall act in their own name and for their own account and not as an employee, partner, or joint venture with the Agency.
  • Agent is not authorized to bind the Agency or make any representations or warranties on behalf of the Agency.
  1. Scope of Services:
  • The Agent shall use their best efforts to promote the sale of the travel products and services offered by the Agency.
  • The Agent shall be responsible for arranging travel itineraries, making reservations, collecting payments, and providing customer service to clients.
  1. Commission:
  • Agent shall receive a commission based on the sale of travel products and services, subject to the commission split set forth below.
  • The commission split is tiered and can range from 75% to 90% depending on sales volume made.
  • Commission shall be paid to Agent within [NUMBER OF DAYS] days of the date on which the Agency receives payment from the customer.
  1. Territory:
  • Agent’s territory shall be limited to [GEOGRAPHICAL AREA(S)], unless otherwise agreed to in writing by the Agency.
  1. Non-Compete:
  • Agent agrees not to engage in any business activities that compete with the Agency’s business during the term of this agreement and for 3 Years after termination of this agreement, within a 100-mile radius of any Agency office.
  1. Intellectual Property:
  • The Agency has a proprietary training program, marketing materials, and other intellectual property that cannot be shared among other travel agencies or outside agents.
  • Agent agrees not to disclose or use any of the Agency’s proprietary information or materials except as necessary to perform under this agreement.
  • Any materials provided to Agent by the Agency remain the property of the Agency and must be returned upon termination of this agreement.
  1. Insurance:
  • Agent shall obtain and maintain, at their own expense, any insurance coverage required by law, including but not limited to errors and omissions insurance and general liability insurance.
  1. Breach of Contract:
  • The Agent shall be in breach of this agreement if they fail to uphold the terms of the contract, not appropriately represent the company, or violate any other terms of this agreement.
  • In the event of a breach, the Agency may terminate this agreement and seek any available legal remedies.
  1. Payment:
  • Payment is due upon signing the contract. A start-up fee of $200 shall be paid to the Agent to obtain all required licensing and insurance.
  1. Termination:
  • Either party may terminate this agreement with 4 Weeks written notice to the other party.
  • Upon termination, any outstanding commissions shall be paid to Agent within 30

  • The Agent shall maintain the confidentiality of all customer information and other confidential information belonging to the Agency.
  1. Indemnification:
  • The Agent shall indemnify and hold the Agency harmless from any claims, damages, or expenses arising from the Agent’s breach of this agreement or negligence in providing travel agent services.
  1. Governing Law:
  • This agreement shall be governed by and construed in accordance with the laws of the State of Texas.
  1. Dispute Resolution:
  • Any dispute arising under this agreement shall be resolved by litigation in accordance with the laws of Texas.
  1. Entire Agreement:
  • This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements.
