INDEPENDENT CONTRACTOR AGREEMENT.

This Independent Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between __________________, Contact Info: _________________________ (hereinafter referred to as the “Company”), and __________, Contact Info:  ___________, (herein referred to as the “Contractor”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be for a period ______ [Days/Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE.
    • The Company is hiring the services of the Contractor who shall provide the Company with English text content. The Company shall use the received text content to create the Company’s course content which shall include but not limited to course videos.
    • The Company shall not create any content in English from the text content received from the Contractor. In the event that the Company wishes to create any content in English from the text content, the Parties shall execute a different contract.
  • PAYMENT/CONSIDERATION.

The Company shall pay the Contractor upfront one-time fees of Five Hundred Dollars ($500) for the services covered under this Agreement on the Effective Date herein. The Contractor shall receive an additional monthly bonus retainer, tiered to monthly users of the content.

  • COPYRIGHT/INTELLECTUAL PROPERTY/LIABILITY.
    • The Contractor understands and acknowledges that upon transfer of the English text content to the Company that all the copyrights thereof shall be owned solely by the Company and this includes reusing the content created by the Contractor to create course materials for commercial purposes, for resell and advertisement. The Contractor shall not, under any circumstances, claim any rights to the content during the term of this Agreement and/or upon termination/cancellation.
    • The Company shall have continued copyright over the content covered under this Agreement for eternity and they maintain the use, reuse and sell of the content for as long as it deems fit. The Contractor agrees and accepts that they shall under no circumstances, upon the expiry of this Agreement, claim the rights herein transferred to the Company.
  • INDEPENDENT CONTRACTOR.

The Contractor shall be retained as an independent contractor.  The Contractor shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement. The Company shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Contractor’s behalf during the term of this Agreement.

  • CONFIDENTIALITY.

The Parties agree to keep the Agreement concept confidential and/or that disclosure of any details of the concept or any other details about the text content covered under this Agreement will ONLY happen when and how needed, upon written consent from the Company. The Parties agree that they shall do everything necessary in their personal capacity and as a team to always maintain the confidentiality of content before its publication by the Company. The Contractor acknowledges and understands that they shall not reveal the said information to a third party without prior written consent of the Company except;

  • The information is required by law.
  • The information is already in the public domain.
  • FORCE MAJEURE:

The failure on the part of the Contractor to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. The Contractor shall inform the Company of such inconveniences promptly so that the Company can mitigate the circumstances and reschedule the deadlines to a different date.

  • WAIVER AND ASSIGNMENT.
    • The waiver by either Party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall NOT in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.  
    • No Party shall assign its rights or obligations under this Agreement without prior Notice or consent by the other Party.
  • DISPUTE RESOLUTION.

In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Parties shall solve such issues through a binding mediation process.

  1. TERMINATION/CANCELLATION.

The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a ____ Day Written Notice on the same. The Contractor shall ensure to make available all scheduled content within the deadline before the Agreement can be considered effectively terminated/cancelled. The Company may without notice terminate/cancel this Agreement in the event that the Contractor violates any of the terms stated herein, which includes but is not limited to, Contractor failing to meet deadlines without prior notice. The Contractor acknowledges and understands that upon termination/cancellation of this Agreement, they shall not receive any monthly bonuses from there henceforth.

  1. MODIFICATIONS.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  1. GOVERNING LAW/JURISDICTION.

The Agreement shall be governed by and construed in accordance with the laws of Berlin, Germany. Exclusive jurisdiction and venue shall be in Berlin, Germany.

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
