INDEPENDENT CONTRACTOR AGREEMENT
This INDEPENDENT CONTRACTOR AGREEMENT (this “Agreement”) is made and entered
into as of [insert date] (the “Effective Date”), by and between [insert your name], (“Owner”)

LLC], whose address is [insert address] (“Contractor”). Each of Owner and Contractor are
sometimes referred to individually as a “Party” or collectively as the “Parties.”
RECITALS
A. Owner needs repairs, renovations and/or maintenance done in his home, and wishes to
engage the services of the Contractor; and
B. Contractor has agreed to provide certain services to Owner on the terms set forth in this
Agreement.
Therefore, the Parties agrees as follows:
AGREEMENT
1. ENGAGEMENT; SERVICES AND COSTS
Owner hereby engages Contractor to provide, during the engagement, the services set forth
herein below: (collectively, the “Services”).
The Contractor is required to do and complete the following, as well as the list provided in
Exhibit 1 of this agreement;
a. Redo the driveway at a cost of $400.00
b. Fix the Shower at a cost of $1200.00
c. Fix the doors and ensure that each door will have their own locks which are keyless.
d. Switch all the outlets to prevent fire Hazards
e. Reconnect the fridge to enable it make ice.
f. Add a light bulb in all 4 rooms of the house.
g. Ensure lighting around the house by installing 4 lights in each corner of the said house.
h. Build a fence at a cost of $2000
i. Fix the main shower that is upstairs by adding a glass door at a cost of $100
j. Add garage opener outlet at a cost of ________

During the performance of the services, Contractor agrees to devote such efforts and time as is
reasonably required to fulfill Contractor’s duties in connection with the Services, to provide the
same in a diligent and conscientious manner and to the best of Contractor’s ability, in
accordance with applicable law, and the terms and conditions provided in this Agreement.
2. Fees; Tax Matters
(a) Fee. As consideration for the Services, Owner shall pay Contractor, a total fee in an
amount equal to [insert total amount payable to the Contractor]. This amount will be paid
directly to the contractor’s account [insert details including account number of the
contractor’s bank]
(b) Tax Matters. Owner and Contractor agree that Contractor shall be treated as an
independent Contractor, and not as an employee of Owner, with respect to the Services
performed hereunder. All fees payable to Contractor hereunder shall be paid in full,
without any withholding, deduction, or offset of any Federal, state, or local income taxes,
employment taxes, or other withholdings. Contractor hereby covenants and agrees that
Contractor shall be solely responsible for all income taxes, payroll taxes, and other
withholdings (both employer and employee portions) with respect to all fees paid by
Owner hereunder.
3. TERM
This engagement shall commence on [insert commencement date] and the Contractor is
expected to complete the renovations on or before the [insert date].
4. LIABILITY
The parties agree that the Contractor shall fix, remake, redo, renovate the house as per
the pictures provided in this agreement. The parties agree that if anything agreed upon
to be fixed by the Contractor, but does not look exactly as agreed in the pictures
provided and attached to this agreement, the owner shall redo the unsatisfactory project
at his own expense.
5. REPRESENTATIONS AND WARRANTIES OF CONTRACTOR
(i) Contractor represents and warrants to Owner that (i) Contractor has the legal
capacity to execute, deliver and perform this Agreement, (ii) this Agreement is a
valid and binding agreement and is fully enforceable against Contractor, (iii)
Contractor is not a party to any agreement that would prevent his entering into
this Agreement or performing his obligations hereunder, (iv) Contractor’s
performance of this Agreement will not breach any confidentiality or other
agreement, with any former employer or other third party, to which Contractor is
bound, (v) in performing the Services, Contractor shall not make any
unauthorized use of any confidential or proprietary information of any other
person or entity, and (vi) Contractor has not previously granted, pledged, or
made any other disposition to any person or entity, or any right, title or interest in
or to the Work, and shall not make sure any disposition to any person or entity
other than Owner.
(ii) Owner represents and warrants to Contractor that (i) Owner has the legal
capacity to execute, deliver and perform this Agreement, (ii) this Agreement is a
valid and binding agreement and is fully enforceable against Owner, (iii) Owner is
not a party to any agreement that would prevent it from entering into this
Agreement or performing its obligations hereunder.
6. BINDING AGREEMENT
This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their respective successors and permitted assigns.
7. FURTHER ASSURANCES
Each Party shall take all actions and execute all documents reasonably necessary to
effectuate the purposes and intents of this Agreement.
