INDEPENDENT CONTRACTOR AGREEMENT.
This Agreement is entered on ______________ between
_______________________ (hereinafter referred to as the “Company”) and
_______________________ (hereinafter referred to as the “Independent
Contractor”). Together referred to as the “parties”.
WHEREAS the parties herein agree to be bound by the following terms and
conditions; –
1. Services.
The Independent Contractor herein shall provide the following services; –
2. Term.
The Agreement between the parties shall be for a period of one year from the date of
execution of this agreement and on the condition that the Company is still in
existence.
After the expiry of the one year above, this agreement may be renewed for another
year.
3. Compensation.
The agreed compensation herein will be 15% of the non-refunded revenue from the
sales of the “Psych Inner Circle Group Subscription” Product.
4. Confidentiality.
During the performance of this Agreement, the Independent Contractor shall have
access to the Company’s confidential information, which shall not be shared with any
third parties without prior written consent.
5. Termination.
The Company herein may terminate the terms of this agreement by issuing 30 days’
written notice to the Independent Contractor.
Reasons for the Company’s termination may include but are not limited to; –
i. Any dispute which cannot be resolved.
ii. Sharing company information with any external party.
iii. Stealing customers.
iv. Stealing information.
6. Dispute Resolution.
If there arises any conflict or dispute during the performance of this Agreement, the
same shall be negotiated between the parties amicably. If the same fails, the
disagreement or dispute shall be referred to a neutral arbitrator whose final decision
will be binding upon the parties.
7. Governing Law.
The provisions of this Agreement shall be construed and interpreted by the laws of
the United Kingdom.
8. Entire Agreement.
This Agreement contains the complete and entire Agreement by both
parties. There are no other promises or conditions, oral or written, outside
of what is contained herein in this Agreement. This Agreement supersedes
any prior written or oral agreements between both parties.
9. Severability.
Should any provision contained within this Agreement be deemed invalid
or unenforceable, in part or whole, such invalidity or unenforceability will
attach only to the particular provision or portion of this Agreement. In
contrast, the remaining aspects of the said provision and all other
provisions of this Agreement shall remain in full force and effect.
