GUARANTEED VERIFICATION AGREEMENT

This Service Agreement (“Agreement”) is made by and between ASCEND AGENCY (“Agency”) located at (Street Address, City, State) AND Jamie Steven Bendall (“Client”) located at (Street Address, City, and State). This Agreement will become effective on August 21st 2011.  (“Effective Date”)

  1. SERVICES

We agree to perform the services (“Services”) listed in this Section. The parties acknowledge that their obligations, according to this Agreement, serve as good and valuable consideration for this Agreement.

Services

  1. We will write 10-15 press articles
  2. Facebook Verification (Non-Guaranteed)
  3. Instagram Verification (Guaranteed)
  4. COMPENSATION

In consideration of the Services rendered, the Client shall pay the following amount: $ 15,000 to Ascend Agency at the end of 8-16 weeks. At the end of this period, the Client will have a completed badge on instagram.com. If the Agency fails to provide the services as required within the contractual time period, they will refund the full amount to Jamie Steven. 

  1. TERM 

The term of this Agreement is 8-16 weeks from the Effective Date unless terminated earlier for other reasons available in this Agreement.

  1. TERMINATION

This Agreement will terminate when all parties have fulfilled their obligations. If the Client intends to terminate this Agreement, the Client will serve the Agency sufficient notice. 

  1. RELATIONSHIP OF THE PARTIES
  1. No Exclusivity. The Parties understand that this Agreement is not exclusive. The Parties agree that they are free to enter into other similar agreements with other parties.
  2. Independent Contractors. The Parties to this Agreement are an independent contractor, which means there are no strings attached. Neither Party is an agent, representative, partner, or employee of the Other Party.
  3. Release of Liability. The Client agrees to release the Agency from any and all liability and agrees to leave the funnel with the Agency at termination of the agreement.
  4. CONFIDENTIALITY

The Agency agrees to retain in confidence at all times and to require its employees, consultants, professional representatives and agents to retain in confidence all information disclosed by the Client. The Agency shall only use the client’s information solely for the purpose of performing obligations under this Agreement, and only disclose the Confidential Information on a need-to-know basis. The Agency shall take all necessary precautions in handling the Confidential Information of the other party and limit disclosures on a strict need-to-know basis. Additionally, the Agency will not use Lauren Alexis’s name to promote or sell their services. Further, the Client may disclose information to the extent ordered to be disclosed by subpoena, other legal process or requirement of law, after first giving the disclosing Party a reasonable opportunity to contest such disclosure requirement.  

  1. WAIVER

Neither Party can waive any provision of this Agreement, or any rights or obligations under this Agreement, unless agreed to in writing by the Parties. If any provision, right, or obligation is waived, it’s only waived to the extent agreed to in writing.

  1. AMENDMENTS

This Agreement may be modified as needed. To modify, the Parties agree to the modification in writing (an “Amendment”). The terms of this Agreement will apply to any Amendment the Parties make.

  1. ASSIGNMENT

The Parties may not assign the responsibilities they have under this Agreement to anyone else unless both Parties agree to the writing assignment.

  1. DISPUTE RESOLUTION

Any dispute arising from rights and obligations under this Agreement will be solved in good faith through mediation. The Parties agree to surrender to the jurisdiction of ________________ Courts if the dispute is not solved through mediation.

  1. ENTIRE AGREEMENT

This Agreement puts the Parties’ entire understanding of the Services to be performed, and anything else the Parties have agreed to in black and white. This Agreement supersedes any other written or oral communications between the Parties.

  1. SEVERABILITY

If any section of this Agreement is invalid, illegal, or unenforceable, the rest of this Agreement will suffice.

  1. GOVERNING LAW

The Agreement shall be governed and construed per the internal laws of _____________   without giving effect to any choice or conflict of law provisions or rule.
