THIS PARTICIPATION CONTRACT dated as of [insert date] (“Agreement”) is made by and
between [INSERT THE NAME OF THE HOST OF THE EVENT], whose address for the
purposes of this agreement is at [insert your address] (the “Enrolled Agent”, “Host”), and
[INSERT THE NAME OF THE PARTICIPANT], whose address is at [insert address] (the
“Participant”).
WITNESSETH:
WHEREAS, the Enrolled Agent is the host of the Golf Event dubbed [insert details], the
Participant is desirous of participating in the said event hosted by the Enrolled Agent while
discussing Tax Stategies; and
NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other
good and valuable consideration, the receipt and adequacy of which are hereby acknowledged,
the parties agree as follows:
Section 1: Agreement
In consideration of being permitted to participate in the said Golf Event hosted by the Enrolled
Agent, the Participant, does hereby:
1.1 Acknowledge and agree that he/she is aware of the risks involved in Participating in the
Golf Event and has also been apprised of the inherent risks and dangers associated with
Golfing and having understood the risks associated with the sport the undersigned has
willingly agreed to learn and participate in the Golf Event;
1.2 Assures that he/she is in proper and good health and is physically fit to learn and also
participate in the Event and represents that he/she is not suffering from any disease which
might remotely either put the participant or the other participants to any risk or danger;
1.3 Agrees to comply with the stated terms and conditions of participation; further agree and
warrant that if at any time when the undersigned believes and thinks that any conditions to
be unsafe, the participant will discontinue further participation in the Activities immediately
thereon.
1.4 Shall not hold the Host, appointed instructors, employees, other participants, owners, or
anyone responsible for any injury that might happen to the participant in the course of the
event;
1.5 FULLY UNDERSTAND that: (a) Golf related activities may involve risks and dangers of
damage to one’s personal property and serious bodily injury; (b) these Risks may be
caused by Participant’s own negligence, lack of skill, by other co-participants’ actions or
inactions, the condition in which the Activity takes place, or the error in judgment of the
Instructors named above; (c) there may be other risks together with economic and social
losses known to Participant or not, readily foreseeable at this time;
1.6 HEREBY release, discharge and agree not to sue the Host, Instructors, employees, any
sponsors, advertisers, other participants, and if applicable, owners and lessors of
premises on which the Event takes place, from all liability, claims, demands, losses,
injuries, damage to property or other damages caused or alleged to be caused on
Participant’s account in whole or in part by the bonafide errors of the “Releases” or
otherwise, including error in judgment during the Event; and the Participant further agree
that if, despite this release and waiver of liability and indemnity agreement, the Participant
or anyone on his/her behalf, makes a claim against any of the Releases, Participant will
indemnify, save, and hold harmless each of the Releases from any expenses on litigation,
attorney fees; or loss, liability, damage, or cost which any may incur as the result of such
claim;
Section 2. Payment of Fees
2.1 In consideration of participating in the Golf Event, Participant agrees to pay a total fee of
[insert amount] as participation fees for the event.
Section 3: Confidentiality.
3.1 Neither party shall use, exploit, or make known to any person or business entity, any
information directly or indirectly received by a party or acquired pursuant to the
relationship created by this Agreement, including, without limitation, information relating
to tax strategies, business affairs, data, designs, manuals, training materials and
documentation, formulas, ideas, inventions, methods, prices, financial and accounting
data, timekeeping data, systems and technical information (“Confidential Information”).
Notwithstanding the foregoing, Host and Participant shall each be permitted to disclose
Confidential Information of the other to its own employees, subcontractors, accountants,
attorneys, and other agents and its affiliates or subsidiaries to the extent the disclosure
is reasonably necessary for the performance of its duties and obligations or the
enjoyment of its rights under this Agreement; provided, however, that Participant and the
Host shall be responsible for any violation of the confidentiality obligations set forth in
this Agreement by any permitted third parties to which it provides Confidential
Information.
Section 4. Governing Law.
4.1 THIS AGREEMENT SHALL BE CONSTRUED BY AND INTERPRETED IN
ACCORDANCE WITH THE LAWS OF [INSERT JURISDICTION] WITHOUT GIVING
EFFECT TO THE PRINCIPLES OF CONFLICTS OF LAW, AND THE RIGHTS,
OBLIGATIONS AND REMEDIES OF THE PARTIES HERETO SHALL BE
DETERMINED IN ACCORDANCE WITH THE LAWS OF [INSERT JURISDICTION].
Section 5. Dispute Resolution.
5.1 All or any disputes arising out or touching upon or in relation to the terms and conditions
of this Agreement, including the interpretation and validity of the terms thereof and the
respective rights and obligations of the Parties, shall be settled amicably by mutual
discussion, failing which the same shall be settled through the Arbitration.
