FREELANCE MARKETING AGREEMENT
This Freelance Marketing Agreement (hereinafter referred to as the “Agreement”)
between ___________ (hereinafter referred to as the “Client”) on one part, and
__________ (hereinafter referred to as the “Freelancer”) on the other part, and
together referred to as the “Parties”.
NOW, THEREFORE, in consideration of the promises and considerations between
the parties, they agree as follows; –
1. Services.
The parties herein agree that the Freelancer shall provide social media marketing for
the Client.
2. Term.
This Agreement shall start on _____________ (hereinafter referred to as the
“Effective Date”). It shall continue for ________ unless extended by the mutual
consent of the parties or until the termination of this Agreement.
3. Payment, Fees, and Expenses.
The parties herein agree that the Freelancer shall get ______________ as
compensation for the services rendered herein.
The Client shall make the necessary payments to the Freelancer on the ___ day of
every month.
The parties agree that the Client shall cater to all necessary fees and expenses upon
receipt of the invoice.
4. Confidentiality.
The Freelancer acknowledges that in delivering the services herein, the Freelancer
will come into contact with confidential information that relates to/belongs to the
Client and agrees not to disclose this information to any third parties without the
written consent of the Client.
The Freelancer agrees to adhere to the term herein, which shall continue to exist for
two years after termination of this Agreement.
5. Indemnification.
The parties herein agree to indemnify and hold each other harmless for any losses,
damages, or liabilities.
6. Relationship.
The relationship between the parties herein is that of an independent contractor, and
the same shall not be construed to mean otherwise.
7. Cancellation.
The Client has the right to cancel the request of the order made by issuing a 30 days
notice with the client being responsible for paying for the work and services already
done by the time of cancellation.
8. Termination.
Either party to this Agreement may terminate the terms herein by issuing a 30 days’
written notice to the other party.
The Client agrees to pay any amounts due to the Freelancer for the services
rendered at termination.
9. Dispute Resolution.
In the event of a dispute or conflict arising from the services or terms herein, the
same shall be negotiated between the parties in good faith; if the same fails, the
parties shall refer to the dispute/conflict to mediation.
10. Intellectual Property.
The parties herein agree that the content created by the Freelancer under this
Agreement will be intellectual property owned by the Freelancer with an exclusive
license for the Client to use.
11. Assignment.
Neither party shall assign their rights and obligations under this Agreement to
another party without the prior written consent of the other party.
12. Governing Law.
The terms and provisions of this Agreement shall be governed in accordance with
the laws of ___________________.
13. Force Majeure.
Neither party shall be liable for any failure to do or carry out the duties and
responsibilities herein because of any Acts of God, war, pandemic, etc. That is
beyond the parties’ control and was not reasonably foreseeable.
14. Entire Agreement.
The terms and provisions herein contain the agreement between the parties and
supersede any prior written or oral agreements or negotiations.
15. Amendments.
Parties may modify or amend the terms herein through another written and signed
codicil by the parties.
