FREELANCE CONSULTANT AGREEMENT
This Freelance Consultant Agreement (hereinafter referred to as the “Agreement”) is
between NC Portfolio 2 ApS located at Koldingvej 102, 6040 Kolding, DK- Denmark
(hereinafter the “Company”), and ___________________ (hereinafter the
“Freelancer”). Together referred to as the “Parties”.
NOW, THEREFORE, in consideration of the promises and considerations between
the parties, they agree to be legally bound as follows; –
1. Services.
The parties herein agree that the Freelancer has been hired to provide the services
of selling the allocated and available shares in NC Portfolio 2 ApS to customers.
2. Term.
This Agreement shall start on _____________ until the termination of this
Agreement.
3. Commission.
The parties herein agree that the Freelancer shall receive a commission of 5% per
single share capital of each share sold to a new client in the company.
The Freelancer can sell the number of shares that is available at the time, i.e., the
Freelancer cannot sell more shares than the number of unsold shares in the
company.
The commission is only paid once per client, i.e., If an existing client purchases new
or more shares in this company or other portfolios, then the Freelancer shall not get
paid further commission.
The above-mentioned commission shall be paid out after the customer has signed
the Purchase agreement with the Company and within 14 days after the funds for the
share have been paid to the Company’s bank account.
4. Confidentiality.
The Freelancer acknowledges that in delivering the services herein, the Freelancer
will come into contact with confidential information that relates to/belongs to the
Company and agrees not to disclose this information to any third parties without the
written consent of the Customer. The Freelancer agrees to adhere to the term
herein, which shall continue to exist for two years after termination of this
Agreement.
5. Non-Compete.
The Freelancer agrees not to compete with any business in competition with the
Company.
6. Indemnification.
The parties herein agree to indemnify and hold each other harmless for any losses,
damages, or liabilities.
7. Relationship.
The relationship between the parties herein is that of an independent contractor, and
the same shall not be construed to mean otherwise.
8. Termination.
Either party to this Agreement may terminate the terms herein at any time.
In the event the Freelancer terminates this agreement, they will not be paid a
commission for any future customer-sold shares after the date of termination.
If the company terminates this agreement, the Freelancer shall get paid a
commission for any future sold shares to the Customers initiated by the Freelancer.
9. Dispute Resolution.
In the event of a dispute or conflict arising from the services or terms herein, the
same shall be brought to Kolding, Denmark. The parties hereto consent to both the
venue and the Jurisdiction of Kolding, Denmark, and any attempt to pursue legal
action in any other country shall be void for lack of Jurisdiction in that foreign court.
10. Assignment.
Neither party shall assign their rights and obligations under this Agreement to
another party without the prior written consent of the other party.
11. Governing Law.
The terms and provisions of this Agreement shall be governed in accordance with
the laws of the Country of Denmark.
12. Entire Agreement.
The terms and provisions herein contain the agreement between the parties and
supersede any prior written or oral agreements or negotiations.
13. Amendments.
Parties may modify or amend the terms herein through another written and signed
codicil by the parties.
