FINDER’S AGREEMENT

 This Finder’s Agreement (hereinafter the “Agreement”) is made on __________ (the “Effective Date”), by and between the following parties:

(Hereinafter referred to as “Claimant”)

The Finder and Claimant are collectively referred to as “Parties” or individually as “Party”) and includes that Party’s successors and assigns.

BACKGROUND

  1. WHEREAS, the Claimant desires to retain the services of Diamond Resource Recovery as Finder.
  • WHEREAS, Diamond Resource Recovery agrees to provide the Finder services to the Claimant;

NOW, THEREFORE, in consideration of mutual promises and covenants contained herein, the Parties agree as follows:

PURPOSE

  1. Finder shall use reasonable efforts and adequate business time and attention to locate, deliver, recover, or assist in the recovery of unclaimed property (hereinafter “property) of the Claimant and take any required action concerning the property on the Claimant’s behalf.
  • The documentation supporting the Claimant’s claim of the property has been attached with this Agreement as an exhibit to show proper proof of entitlement to the property.

PROPERTY DETAILS

CLAIMANT’S COVENANT

  • The Claimant hereby agrees that the Finder will be entitled to receive a 10% fee of the total value of the recovered property.
  • The total value of the property before and after deduction of the 10% fee is

  • The Claimant hereby assigns to the Finder part of the Claimant’s share of the property equal to the aforementioned fee and irrevocably instructs the executors/administrators and or persons dealing with the property to pay it to the Finder directly and send the copies of accounts to the Claimant.
  1. The Finder will only be entitled to the 10% fee if the property is recovered and collected by the Claimant; otherwise, the Claimant will not owe any fee or amount to Finder.
  1. The Claimant agrees to provide the Finder with documents supporting the claim on signing this Agreement. If the Claimant does not provide the supporting documents on signing this Agreement, this Agreement will be automatically terminated.
  1. The Claimant hereby acknowledges that they have been advised and may take legal advice before signing this Agreement.

TERM AND TERMINATION

  1. The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect until the collection of the property and the payment of the Finder’s fee by the Claimant if the Claimant collects the property.

RETURN OF DOCUMENTS

  1. All property documents and any copies obtained thereof shall be returned to the Claimant promptly upon its written request and shall not be retained in any form by the Finder.

ENTIRE AGREEMENT

  1. This Agreement contains the entire Agreement of the parties regarding the subject matter of this Agreement, and there are no other promises or conditions in any other Agreement, whether oral or written.

SEVERABILITY

  1. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
  1. Suppose a court finds that any provision of this Agreement is invalid or unenforceable but that by limiting such provision, it would become valid and enforceable. In that case, such provision shall be deemed to be written, construed, and enforced as so limited.

AMENDMENT

  1. This Agreement may be modified or amended if the amendment is made in writing and signed by both Parties.

APPLICABLE LAW

  1. This Agreement shall be governed by the laws of the State of Kentucky.
