FILM CREDITS AGREEMENT.
This Film Credits Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Alan Malpartida, Contact Info: ____________ (hereinafter referred to as the “Producer”), and _____________, Contact Info: ____________ (herein referred to as the “Owner”).
WHEREAS, this Agreement is for the credits to the short film “The Paper Bag Prince”.
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period of _____________ [weeks/Months/Years], commencing on the Effective Date herein.
- SCOPE.
The Owner shall give the Producer credit “purchased by” and list the Producer’s name on the IMDB website as the producer of the Film. The Owner shall adjust and/or re-upload the YouTube video of the film to include the Producer’s name.
- PAYMENT/CONSIDERATION.
The Producer shall pay the Owner Two Thousand Dollars ($2,000) for the services covered herein, payment to be made through PayPal or CashApp.
- COPYRIGHT/INTELLECTUAL PROPRIETARY RIGHTS.
The Producer acknowledges and understands that this Agreement does not confer upon him any copyrights and/or intellectual proprietary rights on him pertaining the Film. The Owner shall retain all and any copyright/intellectual proprietary rights to the Film and is only allowing the Producer rights of use and practice of the Film. The Producer shall not have any right to publish their own edit of the Film.
- WAIVER AND ASSIGNMENT.
- The waiver by either Party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall NOT in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
- No Party shall assign its rights or obligations under this Agreement without prior Notice or consent by the other Party.
- DISPUTE RESOLUTION.
In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Parties shall solve such issues through a mediation process in accordance with the ADR regulations of the State of ____________, USA.
- TERMINATION/CANCELLATION.
Parties agree that either Party can cancel/terminate the Agreement at any given time, provided that the intending Party provides the other Party a ________ Day Written Notice on the cancel/termination. The Producer shall have the right to terminate this Agreement in the event that the Owner fails to provide all the recorded footage and audio for the Film, not being credited on the YouTube video as having been produced by the Producer and/or not being listed on the IMDB website as being produced by the Producer. The Owner shall refund all the payment upon termination/cancellation of this Agreement.
- MODIFICATION.
This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the Parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
- GOVERNING LAW/JURISDICTION.
This Agreement shall be governed by and construed in accordance with the laws of the State of _____________, USA. Exclusive jurisdiction and venue shall be in ___________________, USA.
Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
