EXCLUSIVITY AGREEMENT.

This Exclusivity Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between ___________________, Contact info: ______________ (Hereinafter referred to as the “Author” “Scientist”), and ____________________, Contact Info: _______________________. (Hereinafter referred to as the “Speaker”).

WHEREAS, the Author/Scientist has publications including but not limited to the Author’s website which shall include all the content published on the website like articles, webinars, videos and media, as well as the Author’s books and articles co-authored and/or published with third parties, published studies, thesis, abstracts and dissertations, which shall be covered under this Agreement. The content covered under this Agreement shall include future publications by the Author that shall be available to the Speaker.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be indefinite commencing on the Effective Date herein.

  • EXCLUSIVITY/CONSIDERATION.
    • The Author herein agrees to confer upon the Speaker exclusive rights to represent them and/or use the Author’s work in speaking engagements on the Author’s behalf. The Author shall not, during the term of this Agreement or its termination thereof, transfer the rights covered under this Agreement to another person or entity without prior written notice and/or consent from the Speaker.
    • The Author shall receive 60% from the sales while the Speaker shall receive 40%.
  • INTELLECTUAL PROPERTY RIGHTS/COPYRIGHTS.
    • For the term of this Agreement, the Author shall own all and any intellectual property rights in the materials covered under this Agreement. The Speaker shall not during the term of this Agreement purport to own any part or in full the intellectual property rights in the material covered under this Agreement. The Speaker shall not on their own or for a third-party, during the term of this Agreement and/or upon termination/cancellation thereof, sell, pass of, or publish any part of the Author’s work covered under this Agreement without the Author’s prior written consent.
    • The Parties agree that in the event that the Author dies or is declared mentally unstable, the Speaker shall automatically own the intellectual property rights over the materials covered under this Agreement.
  • ASSIGNMENT/WAIVER/GOOD FAITH.
    • The Speaker shall not assign their obligations or subcontractor their services without prior written notice and/or consent from the Author.
    • The waiver by either party of any breach or failure to enforce any of the terms of this Agreement at any time shall not in any way affect, limit, or waive such Party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
    • Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Partner can cancel this Agreement at any time provided that they issue a ______ Day Written Notice on the same.

  • MODIFICATIONS, GOVERNING LAW AND JURISDICTION.
    • This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    • This Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, USA. Exclusive jurisdiction and venue shall be in the State of Massachusetts, USA.
