EXCLUSIVE SPEAKER AGREEMENT

BETWEEN
1. IconEleven Speaker Agency, hereinafter referred to as the (“Agency”),
AND
2. [Speaker’s Full Name], hereinafter referred to as the (“Speaker”). Collectively referred to as
the “Parties.”
3. SPEAKER EXCLUSIVITY:
3.1 The Speaker hereby agrees to be an exclusive speaker represented by the Agency for a
duration of one year from the Effective Date of this Agreement. During this exclusivity period,
the Speaker shall not enter into any agreements, either directly or indirectly, with other
agencies, organizations, or individuals for speaking engagements without the prior written
consent of the Agency.
3.2 The exclusivity period may be extended or renewed by mutual agreement of the Parties in
writing.
4. SPEAKER AGREEMENT:
4.1 This contract pertains to the speaking engagements scheduled for the events to be booked
exclusively by the Agency on behalf of the Speaker. The Speaker hereby agrees to the terms and
conditions outlined in this contract for the provision of speaker services during the engagements
facilitated by the Agency. This agreement encompasses all aspects of the engagement, including
but not limited to compensation, commission, handoff fees, travel arrangements, and
termination policies.
5. AGENCY’S COMMISSION AND FEES:
5.1 The Speaker agrees to remit a commission equal to 25% of the total speaking fee received
for each paid speaking engagement booked by the Agency. This commission payment must be
received by the Agency within 48 hours prior to each event. The method of payment for this
commission shall be the agreed upon electronic transfer.
5.2 In the event the Speaker directly hands off a speaking engagement opportunity to the
Agency, a 20% agency fee shall apply to the total speaking fee received for that engagement,
and this fee shall be paid to the Agency within 48 hours prior to each event.
6. TRAVEL ARRANGEMENTS AND EXPENSES:
6.1 For events requiring the Speaker’s physical presence, the Client (or event organizer)
undertakes the responsibility of covering all travel-related expenditures, as mutually established
between the Parties. Prior to the commencement of the engagement, the Speaker shall present
the Client with a reasonable estimation of anticipated travel costs. This estimate is subject to the
Client’s approval, ensuring transparency and alignment between all Parties.
7. CANCELLATION POLICY:
7.1 In the event of cancellation by the Speaker, regardless of the reason, the Speaker shall
promptly refund any fees that have been paid by the Agency for the engagement. The Speaker
agrees to make reasonable efforts to minimize any non-refundable expenses associated with the
engagement.
7.2 Conversely, in the event of the engagement’s cancellation after the Agency has received a
speaking fee, the Agency shall retain the fee as compensation for its services. The Agency will
also make reasonable efforts to minimize any non-refundable expenses incurred on behalf of the
Speaker.
7.3 In cases where cancellation occurs due to force major or unforeseen circumstances beyond
the control of either party, the Parties shall engage in good faith discussions to determine a fair
and equitable resolution. Such circumstances may include, but are not limited to, acts of nature,
government actions, or emergencies.
8. DISPUTE RESOLUTION:
8.1 In the event of any dispute arising out of or relating to this Agreement, the Parties agree to
first attempt to resolve the matter amicably through mediation. If mediation does not result in a
resolution, the dispute shall be settled through binding arbitration in accordance with the rules
of the American Arbitration Association. The costs of mediation and/or arbitration shall be
borne by the party initiating the dispute.
9. GOVERNING LAW AND JURISDICTION:
9.1 Jurisdiction: Any legal action or proceeding arising under or in connection with this
Agreement shall be brought exclusively in the courts of Virginia, and the parties hereby submit
to the personal jurisdiction of such courts.
10. ENTIRE AGREEMENT:
10.1 This Agreement constitutes the entire understanding between the parties, supersedes all
prior discussions, negotiations, and agreements, whether written or oral, relating to the subject
matter herein.
