EXCLUSIVE BOOKING AGENT AGREEMENT
This Agreement made on this ___ day of _________ between _________________
(hereinafter referred to as "Agent") and _________________________________
(hereinafter referred to as the "client"). Together referred to as “parties”.
1. Purpose.
The parties herein agree that the client will engage the agency’s services for exclusive
booking of celebrity acts.
2. Term.
The agreed term of this agreement shall be for one year from the effective date hereof.
3. Compensation.
In consideration of the services to be rendered herein by the agent, the client agrees to
pay the agents _____________.
4. Termination.
Either party to this agreement may terminate the terms herein by issuing a 30 days’
prior written notice to the other party.
5. Dispute Resolution.
In the event of a dispute between the parties arising from the performance of the duties
and obligations herein, the same shall be referred to a mediator in accordance with the
laws of Ontario, Canada.
6. Exclusivity.
The client herein agrees not to engage during the term hereof any other person or entity
to provide the services which the client has engaged the agent hereunder.
7. Governing Law.
This agreement shall be governed by and interpreted in accordance with the laws of
Ontario, Canada.
8. Assignment.
The duties and obligations herein may not be assigned by either party without the
written consent of the other to any third party.
9. Waiver.
The failure of either party to this agreement to insist upon the performance of any of the
terms and conditions of this agreement or the waiver of any breach of any of the terms
or conditions of this agreement shall not be construed as subsequently waiving any
such terms and conditions. Still, the same shall remain in full force and effect as if no
such forbearance or waiver had occurred.
10. Severability.
Suppose any provision of this agreement is deemed invalid and unenforceable by a
court of law. The said provision shall be severed from this agreement, and the
remaining provisions shall continue in existence and full force and effect.
11. Entire Agreement.
This agreement shall constitute the agreement between the parties and supersedes any
prior written or oral agreements.
