EQUIPMENT CONSIGNMENT AGREEMENT

This Agreement is made and entered into as of this ________ day of 2022, by and between_______________________ of _____________________________ (‘Contractor’), AND NG Investment and NG Homes (‘Company’). Individually referred to as ‘Party’ and collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:

  1. Consignment. In return for working for the Company, the Company hereby agrees to allow the Contractor to use the Company’s computers remotely. The Contractor will be required to maintain the equipment in good working condition by ensuring its clean and safe at all times.
  2. Computer Specifications. The Type of the Computer is: Macbook
  3. Term. The term of this Agreement shall commence on the effective date and end on April 11, 2023 (‘Expiration Date’).  
  4. Repairs and Maintenance. The Contractor shall be responsible for the performance of the equipment and any repair work required on the Computer while the Contractor is in possession of the equipment.
  5. Retention of Title. In no event shall title of any of the Equipment be deemed to be transferred to the Contractor. The Company shall retain the title of the equipment. When the Contractor ceases to work for the Company, they shall return the equipment to the Company offices. The Contractor shall not transfer the Company equipment to a third party by sale, gift or any other way.
  6. Risk of Loss or Damage. Contractor shall assume all liabilities associated with the Equipment during the term of this Agreement. Contractor shall be liable for any loss, theft or damage of the equipment.
  7. Confidentiality. As a Contractor you will have access to confidential information that is the property of the Company. Confidential Information entails information that is unknown to the general public it includes: social media information, bank statements and account numbers. You are not permitted to disclose this information outside of the Company without the Company’s approval. This clause will survive the termination of this Agreement.
  8. Non-Compete. During your time of contracting with the Company, you may not engage in any work for another Company that is related to or in competition with the Company. You will fully disclose to your Company any other Employment relationships that you have, and you will be permitted to seek other employment provided that (a.) it does not detract from your ability to fulfill your duties, and (b.) you are not assisting another Company in competing with the Company. It is further acknowledged that upon the termination of your employment, you will not solicit business from any of the Company’s clients for a period of at least 10 years.
  9. Dispute Resolution. In the event of disputes, the Parties agree to use their reasonable best effort to settle all disputes amicably through mediation.
  10. Governing Law. This Agreement shall be governed and construed according to the laws of ____________________________
  11. Entirety. This Agreement represents the entire agreement between the parties regarding the subject matter hereof and supersedes any and all other agreements between the Parties, whether written or oral, regarding the subject matter hereof. Except as expressly set forth herein, this Agreement may not be modified or amended except in a writing executed by both parties. All waivers must be in writing. If any part of this Agreement shall be invalid or unenforceable, such part shall be interpreted to give maximum force possible to such terms as possible under applicable law, and such invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision of this Agreement which shall remain in full force and effect.
