EQUIPMENT CONSIGNMENT AGREEMENT
This Agreement is made and entered into as of this ________ day of 2022, by and between_______________________ (‘Employee/Agent’), AND Skyler Corporation International (‘Company’). Individually referred to as ‘Party’ and collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:
- Consignment. In return for working for the Company, the Company hereby agrees to allow the Employee/Agent to use the Company’s computers remotely. The Employee/Agent will be required to maintain the equipment in good working condition by ensuring its clean and safe at all times.
- Computer Specifications. The Type of the Computer is: _______________________, its serial number is _______________________________.
- Term. The term of this Agreement shall commence on ________________________ (‘Commencement Date) and end on _________________________ (‘Expiration Date’0.
- Repairs and Maintenance. The Employee/Agent shall be responsible for the performance of the equipment and any repair work required on the Computer while the Employee/Agent is in possession of the equipment.
- Retention of Title. In no event shall title of any of the Equipment be deemed to be transferred to the Employee. The Company shall retain the title of the equipment. When the Agent/Employee ceases to work for the Company, they shall return the equipment to the Company offices. The Employee/Agent shall not transfer the Company equipment to a third party by sale, gift or any other way.
- Risk of Loss or Damage. Employee/Agent shall assume all liabilities associated with the Equipment during the term of this Agreement. Employee/Agent shall be liable for any loss, theft or damage of the equipment.
- Dispute Resolution. In the event of disputes, the Parties agree to use their reasonable best effort to settle all disputes amicably through mediation.
- Governing Law. This Agreement shall be governed and construed according to the laws of ____________________________
- Entirety. This Agreement represents the entire agreement between the parties regarding the subject matter hereof and supersedes any and all other agreements between the Parties, whether written or oral, regarding the subject matter hereof. Except as expressly set forth herein, this Agreement may not be modified or amended except in a writing executed by both parties. All waivers must be in writing. If any part of this Agreement shall be invalid or unenforceable, such part shall be interpreted to give maximum force possible to such terms as possible under applicable law, and such invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision of this Agreement which shall remain in full force and effect.
