E-COMMERCE AGENCY AGREEMENT
This E-commerce Agency Agreement is entered into on __________ (hereinafter
“Effective Date”) by and between ________________ (hereinafter referred to as the
“Agency”) and __________________ (hereinafter referred to as the “Client”).
Together referred to as “parties.”
WHEREAS the Parties herein agree to be legally bound by the following terms; –
1. Term.
This Agreement shall be for ___________ from the Effective date mentioned above.
2. Services.
The parties agree that the Agency shall provide the following services for the client; –
i. Launching the Client’s product on Amazon on their behalf.
ii. Creating a product and website for the client/influencer.
The Agency shall have the sole and exclusive right to determine all terms and
conditions of sale, shipping, and customer service policies for the Products and
Services, including, without limitation, the price, shipping costs, warranty, and return
policy.
3. Price and Payment.
Parties agree that for launching products on Amazon, there will be a startup fee of
$3,000 and a management fee of $500 per month.
On the other service of creating a product and website for influencers, the same will
be based on a 50% profit share of net sales per month.
4. Exclusivity.
The Client represents and warrants that they have not, either directly or indirectly,
granted to any other Person, any of the rights granted to the Agency or its Affiliates
hereunder, and Client will not grant any such rights to any other Person concerning
Competitive Products and Services from and after the date of this Agreement
through the date of expiration or termination of the Term.
In addition to any rights granted to the Agency, the Client hereby grants the Agency
a worldwide, irrevocable, royalty-free, fully paid-up, transferrable, and perpetual right
and license to reproduce, publish, distribute, display, repost, share, create derivative
works, and edit all content created for or on behalf of the Client by the Agency or any
Affiliate in any media related to the Products and Services
5. Non-Compete.
Parties agree that for a term of one (1) year after the expiration or termination of this
Agreement, the Agency will not agree with any other Person, seeking the Client’s
endorsement of any product competitive with any of the Products and Services, or
which would allow the use of the Agency’s Identification in connection with any such
product, without first giving the Client the right to equal or better such Person’s offer.
For the avoidance of doubt and as set forth herein, the Agency shall have no right to
use the Developed Branding and Intellectual Property after the Term hereof without
an agreement between the Parties.
6. Governing Law.
The parties herein agree that the provisions of this Agreement shall be governed in
accordance with and governed by the laws ___________________.
7. Confidentiality.
The parties agree and acknowledge that they will not disclose to any third parties
without the prior written consent of the other party any information that is deemed
confidential by either party.
8. Dispute Resolution.
If there is a dispute between the parties, the same shall be negotiated between
them, and if it fails, the dispute shall be referred to mediation.
Each party shall bear its costs.
9. Entire Agreement.
This Agreement constitutes the complete Agreement between the parties and
supersedes any prior written or oral agreements or understandings.
10. Severability.
If any provision of this Agreement is deemed invalid or unenforceable by a court of
law, the same shall be severed from the Agreement, and the remaining provision
shall continue in full force and effect.
11. Amendment.
In the event of any amendment or modification, the same shall be agreed upon
between the parties, put into writing, and signed by the parties.
12. Waiver.
The failure of any party to exercise any right or provision of this Agreement shall not
be considered a waiver of any prior or subsequent rights.
IN WITNESS WHEREOF, the parties have agreed and executed this Agreement as
of the Effective Date indicated in the Agreement.
