DRIVEWAY INSTALLATION AGREEMENT.
This Driveway Installation Agreement (hereinafter referred to as the “Agreement”) is
made on this __________ day of ___________ 20__ (hereinafter referred to as the
“Effective Date”) by and BETWEEN _____________________ (hereinafter referred
to as the “Company”) and ___________________ (hereinafter referred to as the
“Customer”). Together referred to as the “parties”.
WHEREAS, the Customer desires to have driveways installed; and
WHEREAS, the Company is in the business of installing driveways.
NOW, THEREFORE, in consideration of the above, the parties herein agree to be
legally bound by the following terms and conditions; –
1. Premises.
The agreed premises where the driveway will be installed is located at
__________________.
2. Term.
The parties herein agree that the term of this Agreement and for the completion of
the installation shall be _________________ (without any unforeseen
circumstances).
3. Services.
The Company shall provide the following services upon payment of the agreed
consideration: –
i. Installation of resin-bound driveways that are weather permitted.
ii. ________________________
4. Payment.
The parties herein agree to the following payment terms; –
i. 1 st payment shall be 50% of the agreed amount payable upfront to cover the
cost of groundworks and materials, for example, Muck disposal, stone, curb
edgings, resin bound kits, and weed membrane in preparation for the tarmac
base.
ii. 2 nd payment shall be 25% to cover the cost of the tarmac paid to a third party
which has to be paid on the day of installation.
iii. 3 rd payment shall be 25% (the remaining balance) to be paid on completion.
Parties herein agree that payment has to be made 24 hours before the tarmac is
laid.
The agreed payments shall be made to the following account; –

5. Maintenance.
The Client shall be responsible for maintaining the installed driveway or any other
additional installation made by the Company.
6. Indemnification.
The Client herein agrees to indemnify the Company in case of any liabilities or loss
arising from the performance of the obligations herein.
The Client shall be responsible for any underground services like electric and gas
and drainage that the Company may break while excavating.
7. Third Parties.
The Client herein agrees and acknowledges that the Company will use a Third-party
for installing the tarmac base, which shall solely be dealt with by the Company.
8. Confidentiality and Publicity.
The terms of this Agreement and the details thereof shall be confidential, and the
same shall not be disclosed to any other parties without prior written consent from
the parties.
9. Default.
The following agreed circumstances may bring a stop or a delay in delivering the
services on time; –
If the weather is not good and the Company can not carry out the work.
If the Client stops the Company from working and carrying out the job due to
unforeseen circumstances.
Failure to make the necessary payments by the Client.
10. Termination.
If this agreement is terminated, the Client shall pay the Company in full for all the
services rendered and the time consumed.
11. Dispute.
In case of any dispute/complaint regarding the orders, the same shall be submitted
and rectified within 90 days.
12. Governing Law.
The terms of this Agreement will be governed and construed in accordance with the
laws of the United Kingdom.
13. Waiver.
The lack of enforcement of any rights and obligations under this Agreement does not
mean a waiver of any present or future violation.
14. Amendment.
This Agreement may only be amended or modified by an agreement signed by both
parties.
15. Severability.
If any term or provision under this Agreement is deemed unenforceable by a court of
law, the same shall be severed from the Agreement, and the remaining condition
shall continue to be in full force and effect.
IN WITNESS WHEREOF, the parties have agreed and executed this Agreement as
of the Effective Date indicated in the Agreement.
