DRIVER’S AGREEMENT

This DRIVER’S AGREEMENT is made by and between LUX TECHNOLOGIES, LLC with its principal Company office located at [ADDRESS] (hereinafter “The Company/Lux”) and [NAME] of address [ADDRESS] (hereinafter “The Driver”).

The Company and the Driver shall be referred to as “Parties” to this contract and separately as “a Party” to this contract.

WHEREAS:

  1. Lux Technologies, LLC that has licensed the use of lux technologies website to extend the services of connecting drivers with the customers (hereinafter referred to as the “Services”);
  2. Customer shall mean a person who takes a ride through Lux Technologies Platform
  3. Driver has decided to use our platform to provide extensive services to clients.
  4. Driver further accepts to use our platform following the set rules and regulations as per Lux Technologies has set.

NOW THEREFORE, the Parties hereto agree as follows:

  1. Term

This Agreement shall commence on the Effective Date for an indefinite duration. Termination of the contract can be done by either parties at any point and time for any reasons whatsoever.

  • Obligations of Lux Technologies
  • Ensure the Services are provided as per the Terms and Conditions set forth by the Company.
  • Ensure the Driver has access to all rides done and proper statements of accounts as per their work and trips taken by the clients for accountability.
  • Lux Technologies, LLC shall retains 20% per transaction and that all tips or gratuity are solely for the Driver.
  • Communication.

Driver agrees that Lux may contact them through mail or text messages (including by an automatic telephone dialing system) at any of the contacts provided by the Driver or on Driver’s behalf in connection with the services.

Driver may opt out from receiving text messages from Lux at any time.

  • User Requirements and Conduct
    • Driver must complete a background check in order to use Company’s booking platform.
    • Driver may not assign or otherwise transfer Account to any other person or entity.
    • Driver agrees to comply with all applicable laws when accessing or using the Lux platform and only access or use the services for lawful purposes (e.g., no transport of unlawful or hazardous materials).
    • Driver may not use the Services to cause nuisance, annoyance, inconvenience, or property damage, whether to a Third Party Provider or any other party.
    • In certain instances Driver may be asked to provide proof of identity to access or use the Services. Driver agrees that they may be denied access to use the Services if they refuse to provide proof of identity.
    • Driver should not carry any firearms or any weaponry in his/her vehicle(s) while logged on to our booking platform by way of our website or booking app.
  • Obligations of the Driver
    • Driver shall own and operate their vehicles. The Company shall not provide vehicles for drivers unless under the employer- employee relationship to be discussed herein.
    • Ensure compliance by providing all necessary documents as per the requirements of the Company. (E.g. License etc.)
    • Driver is permitted to bid on trip requests or reservations from rider(s). Driver with best offer typically gets the job with any rider(s) who approve the Driver’s offer. Driver shall set their own competitive rates based on current market prices
    • Driver shall also update on their profile if their vehicles are pet friendly. This shall ensure that the rider picks the best driver to cater for their needs.
    • Driver shall provide services to any client who requests for such services. The Driver shall not practice any form of discrimination towards the Clients, including but not limited to discrimination based on race, gender, disability or any other form as specified in any legislation.
    • Once a Driver picks a request they must offer effective communication.
    • Driver must inform Lux Technologies of any other language Driver is capable of speaking to rider(s).
    • Driver should dress in a business casual or dress up for each rider reservation he/she accepts. This is because drivers who are well groomed tend to receive higher ratings.
    • In the event of any issues/theft or any other damage to Driver property, Driver should report this to the relevant legal authority and solve the issue as an independent contractor.
    • Driver is responsible for updating driver’s details (license and other documents necessary for driving.) and also liable to keep the vehicle up-to date and safe for riding.
    • The vehicle should be insured by the Driver. Driver must have a valid commercial auto insurance to insure premium vehicles under driver partner’s name. The auto insurance shall consist of a $1 million auto policy that covers each rider.
    • Any damage to private and public property caused by the driver will be the responsibility of Driver. Lux is not liable for such incidents.
    • Driver is responsible for the safety of Customers /Clients who are traveling in their vehicle.
    • Drivers may be employed by Lux to fulfill higher tier services such as, driving premium vehicles (i.e., Bentley motors, Rolls Royce, and May Bach). In such case, Lux will rent premium vehicles from a third party.
    • Any damage on rented premium vehicles is the sole responsibility of driver partners who are permitted to drive such cars under this agreement with Lux Technologies, LLC.
    • Driver is not allowed to steal, persuade, or use the Lux booking platform to recruit his/her own clients or clients for any third party venture beyond the Lux platform. Any illegal activity will result to a breach of contract and each Driver convicted will ultimately face permanent termination from the Lux booking platform immediately. All legal actions will be resolved in the court of law.
    • Driver is aware that as a driver, one cannot exceed work hours beyond our 12 hour business policy. All drivers who are logged on Lux booking platform for more than (12) hours will automatically be logged off by the 12th hour in order for the Company to stay compliant with local statutory laws regarding gig economy workers and/or rideshare services.
    • Driver may receive rewards for referrals. Refer a friend or family member to drive with Lux and receive a reward (cash prizes, gift card(s), or entertainment tickets)
  • INDEPENDENT CONTRACTOR

The Driver is not an employee under Lux Technologies or any subsidiaries under Lux Technologies, LLC. Nothing in this agreement shall be interpreted to mean or establish an employer- employee relationship between the Driver and the Company.

The Driver shall be and at all times remain an independent contractor unless otherwise through a different agreement.

  • Liability and Indemnity

The Driver agrees and accepts that Lux Technologies is not liable for any acts or omissions of the driver since Driver is not a Lux employee and they are independent agents and within their control.

By using Lux platform, Driver agrees for Lux to give out personal information to third parties if required by law or for any legal purposes.

  • Dispute Resolution
    • In the event of any dispute between the Parties to this Agreement, The Parties through their representatives shall make in good faith, efforts to resolve the disputes through negotiations within fourteen (14) Business Days of the matter being referred to them or any period agreed upon by the Parties. If an amicable decision is not reached, the parties shall proceed to any court of competent jurisdiction.
    • Lux Technologies reserves the right to change a Drivers account details in case of any dispute between a Driver and the Company until the conflict is resolved.
  • Governing Law

The general provisions of this Agreement shall be governed by the laws of the State of ___________________________________________________
