DONATION TRANSFER AGREEMENT

This Donation Transfer Agreement effective as of _______________________ (“Enter Date”) is entered into by and between ABC Charity (hereinafter the “Receiver”) and XYZ City Action Committee (hereinafter the “Donation Transferee”). Individually, referred to as “Party” and collectively referred to as “Parties”. The Parties intend to be bound as follows:

    1. SCOPE.  Whereas, ABC Charity has received $ 50,000 as a gift from a donor to purchase a cargo van to assist in feeding the homeless and the poor. Whereas, ABC Charity has some tax issues, Whereas, XYZ City Action Committee is a duly organized 501c3 Charity and its willing to serve as a fiscal manager for ABC. Therefore, XYZ City Action Committee will received the donation granted by the donor and hold it on behalf of ABC Charity. XYZ City Action Committee will transfer the donation promptly upon request either written or oral by ABC Charity.

    1. COOPERATION. The parties agree to cooperate with each other in order to fulfill the purposes set out by the donation.

    1. DISPUTES. Any disputes arising between the parties with regard to the subject matter of the agreement shall be solved in good faith through mediation. If mediation fails, the parties will resort to arbitration by an arbitrator appointed by both parties.

    1. LEGALLY BINDING. The parties agree that the agreement is legally binding between them and they intend to be bound thereof.

    1. GOVERNING LAW. This agreement shall be governed and construed according to the laws of the State of ____________________-
