DIGITAL MAGAZINE DISTRIBUTOR AGREEMENT
This Digital Magazine Distributor Agreement effective as of ____________________ (“Effective Date”) is entered into by and between ___________________ (the ‘Company”) and ___________________________ (hereinafter the “Distributor”). Individually referred to as “Party” and collectively referred to as “Parties”. Both Parties thereby agree to be bound as follows:
- SCOPE OF WORK. Whereas, The Company produces digital magazines for Real State Agents and Property Managers for distribution to their Clients. Whereas, The Company would like to engage the services of the Distributors. The Distributors agree to provide the distribution services for the Company for free.
- TERM AND TERMINATION. The Term of the Agreement will commence on __________________________ and be effective until terminated by distributor when they wish to withdraw their services.
- EXCLUSIVITY. The Distributor agrees to provide distributor services exclusively to the Company. Any distribution services rendered to other Companies will automatically terminate this Agreement.
- CONFIDENTIALITY. Both Parties agree to not to disclose any “Confidential Information” that is not readily available to the public and that when disclosed would cause material loss to the other party.
- DISPUTE RESOLUTION. Any disputes arising between the Parties will be solved in good faith through mediation.
- GOVERNING LAW. This Agreement will be construed and interpreted according to the laws of the State of California.
- ENTIRE AGREEMENT. This Agreement represents the entire agreement between the parties regarding the subject matter hereof and supersedes any and all agreement between the Parties.
