DELIVERY AGREEMENT
This Delivery Agreement (hereinafter the “Agreement”) is entered on this ______ day
of _______ 20__ by and between ____________________ (hereinafter referred to
as the “Company”) and ___________________ (hereinafter referred to as the
"Service Provider"). Together referred to as "parties."
1. Services.
The parties herein agree that the Service Provider shall provide delivery services for
the Company’s clients at the agreed rates and terms indicated below.
2. Negotiations.
The Company’s Clients shall negotiate with the Service Provider herein on the terms
of their Orders and delivery.
3. Payment Details.
The Service Provider shall pay the Company 10% of whatever the Service Provider
will make from the Company’s Chef/Vendors.
4. Governing Law.
Parties herein agree that the provisions of this Agreement shall be construed in
accordance with the laws of Alberta Canada.
5. Indemnification.
The Service Provider agrees to hold harmless the Company against all claims,
liabilities, or damages that may arise from the performance of the terms contained
herein.
6. Termination.
Either party to this Agreement may terminate the terms herein by issuing a prior
written notice to the other party.
7. Entire Agreement.
The terms and provisions contained in this Agreement constitute the entire
Agreement between the parties and supersede any prior written or oral agreements
or promises.
IN WITNESS WHEREOF, parties have caused this Agreement to be executed on
the date herein below (the “Effective date”).
