Deed of Assignment – A deed for use when a party to an agreement wishes to assign its rights and
benefits under that agreement to another person. In this agreement, ERIC LAWRENCE ALMEIDA is
assigning his rights and benefits to KRISTY LOUISE ALMEIDA.
Indenture refers to a legal and binding agreement, contract, or document between two or more
parties.
Deed of Lease – A deed of lease is a document that outlines the specific terms and conditions of a
lease agreement between two or more parties.
1. There is an agreement made on the 20 th of September 1967 between Samuel Abraham
Marrache and Bayview Company Limited whereby property situated at No. 13 College Lane,
Gibraltra, initially owned by Samuel Abraham Marrache was granted to Bayview Company
Limited for a term of 99 years.
2. On the 27 th of April 1975 – Bayview Company Limited entered into an agreement with Roland
George Cooper and his wife Phyllis May Cooper whereby the Coopers were granted a lease
over an apartment no. 5 built on the property for the unexpired term. In this case, the
unexpired term was 91 years as at 1975.
3. On the 12 th of June 1981, an agreement was made between Mr and Mrs RG Cooper and Mr.
and Mrs. DG Cooper, whereby Mr. and Mrs. RG Cooper assigned their rights and benefits in
the apartment no. 5 on the property to Mr. and Mrs. DG Cooper.
4. On the 11 th of February 1988, Mr. and Mrs. DG Cooper assigned their rights and benefits in
the apartment 5 on the property to Mr. and Mrs. E. L Almeida for the remainder of the term
of the initial lease. That is 78 years.
5. On the 13 th of September 2002, Mr. and Mrs. EL Almeida, as per Supreme Court Order of 7 th
March 2001, assigned their rights and benefits in the apartment no. 5 on the property to Eric
Lawrence Almeida, the Assignor in this agreement.
6. On the 12 th of March 2005, Eric Lawrence Almeida assigned/sold his rights and benefits in
the said apartment 5 on the property to Kristy Louise Almeida for a consideration of one
pound, for the remaining 61 years.
7. Eric Lawrence Almeida agrees to assign his daughter, Kristy, his share/interest in the
apartment no. 5 on the property and Kristy has agreed to take up the said share/interest in
the property.
The Agreement;
1. For a consideration of 1 pound, Eric Lawrence Almeida has assigned all his rights and
benefits in the apartment no. 5 on the property to Kristy for the remaining 61 years. Before
the assignment of his rights to Kristy, he needed to first pay any unpaid rent to the
government or ensure any encumbrances on the property had been paid.
2. Kristy on her part agreed to ensure that after the transfer of the property, she would
continue paying rent for the said property to Bayview Company.
3. Both parties agreed that Eric would assign his shares to Kristy after the signing of the
agreement and Kristy agreed that she would take up such shares.
4. Agreement by Kristy to observe and perform the obligations of the lease.
5. In any case Kristy decides to assign her rights and benefits in the property to anyone, she
needs to ensure that such party observes the covenants and rules contained in the
agreement.
