COPYRIGHTS AGREEMENT.
This Copyrights Agreement (hereinafter referred to as the “Agreement”) is made and entered on
this _ day of 2020 (the “effective date”), between ______, author of
Living A Purposeful Life and Leaving a Powerful Legacy, Address _ (hereinafter
referred to as the “Writer/Trainer/Speaker/Mentor”), Coach Training Alliance, Address
_ (herein referred to as the “Company”) and _, Address
__ (herein referred to as the “Client”).
WHEREAS, the Writer is been retained on contract as a private contractor by the Company as a
coach at its institution. The Writers contract with the Company is not affected by this Agreement
as long as the Writer’s rights under this Agreement are respected.
WHEREAS, the Client is any third party who intends to use the Writer’s book, teaching
materials and the coaching course for the purpose of coaching.
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties
hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period _ [Days/Weeks/Months],
commencing on the Effective Date herein. - SCOPE.
2.1. The Company and/or the Client shall use the writer’s book, teaching materials and
the coaching course for the purpose of coaching.
2.2. The Company and/or the Client shall use the writer’s book, teaching materials and
the coaching course for commercial purposes as coaching aids. - PAYMENT.
3.1. The Company and/or the Client shall pay the Writer _% of all the money paid by
the students during the coaching training where the Writer’s book, teaching materials and
the coaching course is used.
3.2. The Company and/or the Client shall pay the writer 25% non-refundable amount
of the agreed sum a week before the coaching training, and the rest a day after the
coaching training has been completed. - COPYRIGHTS.
The Parties agree that the Writer shall retain the exclusive copyrights to all the intellectual
property covered under this Agreement. The Company and/or the Client shall not sell,
reproduce, copy or pass of any of the Writer’s book, teaching materials or coaching course
without prior written consent from the Writer. - GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
5.1. This Agreement contains the entire Agreement between the Parties relating to the
subject matter hereof and supersedes any and all prior agreements or understandings,
written or oral, between the parties related to the subject matter hereof. No modification
of this Agreement shall be valid unless made in writing and signed by both parties hereto.
5.2. This Agreement shall be governed by and construed in accordance with the
, [State/Country]. Exclusive jurisdiction and venue shall be in the
_, _ [State/Country].
5.3. This Agreement shall be binding upon and inure to the benefit of the Writer and
the Company and/or the Client and their respective successors and assigns, provided that
the Company and/or the Client may not assign any of their obligations under this
Agreement without the Writer’s prior written consent.
Each party represents and warrants to the other that such party has acted in good faith, and agrees
to continue to so act, in the negotiation, execution, delivery, performance, and any termination of
this Agreement.

Date.
