COPYRIGHT OWNERSHIP AGREEMENT
THIS COPYRIGHT OWNERSHIP AGREEMENT( this “Agreement”) is made effective as

BETWEEN

“OWNER”
OF THE FIRST PART

1. iConnections with a principal place of business at____________
hereinafter referred to as “ORGANIZATION”
OF THE SECOND PART
Collectively the Owner and Organization shall be known as the “PARTIES.”
RECITALS
A. Organization is hosting Global Alts 2023 conference which is a landmark event,
held annually
B. Owner carries out the business of filming digital content
C. Organization is desirous of sourcing the works of Owner (hereinafter the
“Works”)
D. Owner has agreed to render the Works of filming digital content in accordance
with the terms and conditions set out in this Agreement
NOW THEREFORE, in consideration of the mutual covenants and promises herein
contained, the Owner and Organization agree as follows:
1. Owner will film digital content at the Global Alts 2023 Conference;
2. After the event, Owner will edit and make final content based on raw footage
recorded at the event;
TRANSFER OF RIGHTS
3. Owner hereby grants Organization a non-exclusive right to copy and access
certain materials from the Woks, in whole or in part, and to incorporate the
Material, in whole or in part, into other works (the “Derivative Works”) for
Organization’s internal use only;
4. Owner hereby grants Organization control over the content that is filmed in the
Organization at the Global Alts Event. Organization has the right to watch the
final content, in whole or in part;
RIGHTS AND OBLIGATIONS
5. All rights, title and interest in the final content Works, including without
,limitation, any copyright, shall remain with Owner;
6. Owner shall own the copyright in the Original and Derivative Works;
TERMINATION
7. This Agreement may be terminated by Owner shall Owner be denied access to
use of a content;
8. This Agreement may be terminated by Organization shall it not be able to use
content on the granted materials.
INJURY AND INDEMNIFICATION
9. Each party shall indemnify and hold the other harmless for any losses, claims,
damages, awards, penalties, or injuries incurred by any third party, including
reasonable attorney’s fees, which arise from any alleged breach of such
indemnifying party’s representations and warranties made under this
Agreement, provided that the indemnifying party is promptly notified of any
such claims. The indemnifying party shall have the sole right to defend such
claims at its own expense. The other party shall provide, at the indemnifying
party’s expense, such assistance in investigating and defending such claims as
the indemnifying party may reasonably request. This indemnity shall survive
the termination of this Agreement;
GOVERNING LAW
10. This Agreement shall be construed and enforced in accordance with the laws of
the United States of America and of the State of Florida
DISPUTE RESOLUTION MECHANISM
11. Any dispute or difference arising out of or in connection with this Agreement
shall be determined by the appointment of a single arbitrator to be agreed
between the Parties.
ENTIRE AGREEMENT
12. This Agreement constitutes the entire and only agreement between the parties
and all other prior negotiations, agreements, representations and
understandings are superseded hereby.
IN WITNESS WHEREOF, the parties hereto have caused their duly authorized
representatives to execute this Agreement.
