COPYRIGHT AGREEMENT.

This Copyrights Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Octavia Mills, Contact Info: ____________ (hereinafter referred to as the “Writer” “Co-writer”) and _____________, Contact Info: ______________ (hereinafter referred to as the “Artist”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

TERM.

The initial term of this Agreement shall be indefinite, commencing on the Effective Date herein.

  1. COPYRIGHT/INTELLECTUAL PROPERTY.
    1. The Writer shall write and/or co-write lyrics for the Artist for the Artist’s songs/albums and/or projects. The Parties acknowledge and agree that the Writer shall own all the copyrights in the lyrics covered under this Agreement, and shall be listed in the credits as the writer of the lyrics. The Writer shall however sell, share and/or duplicate the lyrics covered herein with another client to use as the Artist is using them.
    1. The Writer warrants that the lyrics provided under this are original and that no third-party shall have any legal, copyright and/or intellectual property claims on the lyrics. The Writer shall be solely and fully responsible for any and all copyright infringement claims arising from the use, publication and production of any content containing the lyrics covered under this Agreement. The Writer shall indemnify the Artist against any and all copyright infringement claims brought against them for use, publication and/or production of the lyrics.
  2. PAYMENT/ROYALTIES.
    1. The Writer shall be paid One Hundred and Eighty Five Dollars ($185) for the services covered under this Agreement, payments must be made on advance on the Effective Date herein or _____ days before the delivery of the service.
    1. The Writer shall be liable for and shall receive royalties for the services provided under this Agreement. Royalties shall be paid for the life of the Writer in the percentage of _____ from the profits made by the Artist from the music made with the lyrics covered under this Agreement.
  3. RELATIONSHIP BETWEEN THE PARTIES.

The Writer shall be retained as an independent contractor.  The Writer shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement. The Artist shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Writer’s behalf during the term of this Agreement.

  • ASSIGNMENT/WAIVER.
    • The Writer shall not assign any of their obligations under this Agreement to a third Party without the Artist’s prior written notice.
    • The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • FORCE MAJEURE:

The failure on the part of the Writer to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a Three Day Written Notice on the same, after the payment has been made prior to the delivery of the service.

  • MODIFICATIONS.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country].

  • MISCELLANEOUS.
    • This Agreement shall be binding upon and inure to the benefit of the Writer and the Artist and their respective successors and assigns, provided that the Writer may not assign any of their obligations under this Agreement without the Artists prior written consent. 
    • Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
