CONTRACTOR AGREEMENT.
This Agreement is entered on ______________ between MSB MARKETING AND
ADVERTISING LLC located at 24 Hollis St. Randolph Ma 02368 (hereinafter
referred to as the “Company”) and _______________________ (hereinafter referred
to as the “Contractor”). Together referred to as the “parties”.
WHEREAS the parties herein agree to be bound by the following terms and
conditions; –
1. Services.
The company is in the business of selling government tablets and phones and
hereby agrees with the Contractor to sell the tablets and phones in accordance with
the terms entailed in this agreement.
2. Qualification.
The qualification for purchasers who will be sold the tablets and the phones are
individuals who fall into a certain category of low income.
Based on the categories of low-income benefits, the company can activate the tables
and phones with data and minutes.
All transactions are done face-to-face at various events.
3. Fees.
Parties herein agree that each phone and tablet has a $20 activation fee that is
collected by the contractor. The $20 activation fee must be returned to the company
each day following the work day.
4. Duration.
Parties agree that the tablets need to be sold or returned to the company by the
week. Parties further agree that any tablet or phone that is not sold or returned is
charged to the company at $100 per item. This cost is passed to the contractor.
5. Compensation.
The agreed compensation for the services provided by the contractor shall be
____________ payable on _________.
6. Inventory.
Parties agree that each day, the contractor must report to the office to return funds,
do an inventory check, and receive more tablets and phones.
The company is responsible for creating a daily inventory sheet that will be given to
the contractor which will require both the company and contractor to sign the sheet.
The sheet shall include the following details; Date of issuance, the IMEI/SIM, the
Device type, the name of the representative, if it was sold or returned, and any
notes.
7. Confidentiality.
During the performance of this Agreement, the Contractor shall have access to the
Company’s confidential information, which shall not be shared with any third parties
without prior written consent.
8. Termination.
The Company herein may terminate the terms of this agreement by issuing 30 days’
written notice to the Contractor.
Reasons for the Company’s termination may include but are not limited to; –
i. Any dispute which cannot be resolved.
ii. Sharing company information with any external party.
iii. Stealing the products.
9. Dispute Resolution.
If there arises any conflict or dispute during the performance of this Agreement, the
same shall be negotiated between the parties amicably. If the same fails, the
disagreement or dispute shall be referred to a neutral arbitrator whose final decision
will be binding upon the parties.
10. Governing Law.
The provisions of this Agreement shall be construed and interpreted by the laws of
_________.
11. Entire Agreement.
This Agreement contains the complete and entire Agreement by both parties. There
are no other promises or conditions, oral or written, outside of what is contained
herein in this Agreement. This Agreement supersedes any prior written or oral
agreements between both parties.
12. Severability.
Should any provision contained within this Agreement be deemed invalid or
unenforceable, in part or whole, such invalidity or unenforceability will attach only to
the particular provision or portion of this Agreement. In contrast, the remaining
aspects of the said provision and all other provisions of this Agreement shall remain
in full force and effect.
