However, you should be keen to consult with APPSPIRE on what constitutes a material breach. Clarity from them will prevent the termination of the contract prematurely or at their convenience. Though they have mentioned that fail to respond to requests for information or design assets constitutes a breach of the contract. So, in all your interactions with APPSPIRE make sure you respond timely and give them clear and accurate information.
APPSPIRE have given a window of three days as the response time beyond which, they reserve the right to finalize any recommended plan. Upon finalizing the plan, they cannot be held liable for any inaction whatsoever.
