CONTRACT FOR SERVICE

This Agreement is hereby entered into on this 18th day of May, 2021

BETWEEN

Textbroker Company ……………………………………… herein “Contracting Party.”

AND

Primewritersinc ……………………………………………. herein “Independent Contractor.”

NOW, THEREFORE, THE PARTIES AGREE TO BE BOUND BY THE FOLLOWING TERMS:

  1. Description of services

Textbroker Company agrees to engage Primewriters as an independent contractor in providing digital marketing services for the Company’s website; writing blog content and articles for the Company so that the Company ranks well in google engines and other additional services as agreed by both parties. 

  1. Payment for services

Textbroker Company agrees to pay the Independent Contractor in foreign currencies at random intervals for different services provided. Each service shall be valued based on the time required and the skill set required to finalize the service. 

  1. Terms and Termination

This Agreement shall remain in effect for a period of 3 years from the effective date unless earlier terminated.

Either Party may terminate this contract with prior notice of 14 days from the desired date of termination.

  1. Severability

Unless otherwise provided herein, if any provision of this Agreement is held to be illegal, invalid or unenforceable under the present or future laws or regulations effective during the term of this Agreement, the legality, validity or enforceability of the remaining provisions of this Agreement shall not be affected thereby.

  1. Governing Law

This Agreement shall be construed following the laws of the State of Kenya.

  1. Entire Agreement

This Agreement constitutes the parties’ entire understanding and supersedes all prior negotiations and agreements between the parties, both oral and written.

  1. Counterparts 

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which shall constitute the same instrument.

  1. Assignment

Independent Contractor shall not assign this Agreement.

  1. Amendments

This Agreement may be amended at any time by mutual agreement of the parties hereto. Still, any such amendment shall not be operative or valid unless the same is reduced to writing and approved by Independent Contractor and the Contracting Party.

  1. Waiver

No consent or waiver, express or implied, by either party to or of any breach or default by other party hereto in the performance of such party’s obligations under this Agreement shall be deemed or construed to be a consent to or waiver of any other breach or default in performance by such other party of the same or any other obligation of such other party under this Agreement. 

  1. Binding Effect

This Agreement shall be binding and shall inure to the benefit of all parties and their respective successors, heirs, permitted assigns and legal representatives.

  1. Confidentiality

The Contracting Party and the Independent Contractor each agree that they will keep the terms of this Agreement confidential and shall not disclose same or otherwise allow knowledge concerning this Agreement’s contents to be known except to their respective attorneys or accountants or as such disclosure may be required by law. 

INTENDING TO BE BOUND, parties hereto duly execute this agreement.
