CONTRACT FOR RECRUITING SERVICES

THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………

BETWEEN

  1. Pathway Logistic Recruiting LLC, a company whose principal place of business is [address]Louisiana hereinafter referred to as (“Company”)

AND

  1. [Client Names], an individual/entity with its address at [Client’s Address] hereinafter referred to as (“Client”)

WHEREAS, the Client desires to engage the services of the Company to provide recruiting services for the purpose of identifying, screening, and presenting candidates for employment positions, and

WHEREAS, the Company is in the business of providing recruiting services and has the necessary expertise and resources to assist the Client in identifying and recruiting suitable candidates for employment positions, and

WHEREAS, the parties desire to enter into an agreement to formalize their relationship and set forth the terms and conditions under which the Company will provide the recruiting services to the Client,

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

  1. SCOPE OF SERVICES:

The Company agrees to provide recruiting services to the Client for a period of 90 days from the date of this Agreement. The services will include the identification, recruitment, screening, and presentation of candidates to the Client for employment.

  1. PAYMENT:

The Client agrees to pay the Company a fee equal to 17% of the estimated gross annual salary for each candidate hired through the Company’s services. Payment is due within 30 days of the candidate’s start date. If payment is not made within 31 business days of the candidate’s start date, the replacement candidate guarantee period will be void and the Client may terminate the Agreement without further obligation.

  1. EXCLUSIVE OR NON-EXCLUSIVE CONTRACT:

The Client may select either an exclusive or non-exclusive contract. If the Client selects an exclusive contract, the fee will be reduced by 1%. Please indicate your selection by checking the appropriate box below:

  1. REPLACEMENT GUARANTEE:

 If a candidate placed by the Recruiter quits within 45 days of their start date, the Recruiter will provide one free replacement candidate. The guarantee is valid only if the Client has paid the fee for the original placement within 31 business days of the candidate’s start date. The guarantee does not apply if the candidate was terminated due to misconduct or poor performance.

  1. DISPUTE RESOLUTION:

In the event of any dispute arising from this agreement, both parties agree to first attempt to resolve the dispute through mediation. If mediation is unsuccessful, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The party filing the dispute shall bear the cost of mediation or arbitration.

  1. TERMINATION:

Either party may terminate this Agreement at any time by giving written notice to the other party. If the Client terminates this Agreement before the 90-day contracted period, a fee of 50% will be charged. Upon termination, the Client agrees to pay the Company for any services provided up to the date of termination, including any applicable fees.

  1. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana.

  1. CONFIDENTIALITY:

The Company agrees to maintain the confidentiality of all information received from the Client in connection with the recruitment services, including but not limited to candidate resumes and interview feedback.

  1. INDEMNIFICATION:

The Client shall indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with any act, error, omission, or misconduct of the Company in the performance of its obligations under this Agreement,

  1. ENTIRE AGREEMENT:

This Agreement contains the entire agreement of the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions between the parties.
