CONTRACT FOR GYM SERVICES
THIS CONTRACT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………
BETWEEN
- JOE …………., of {address} ………….…… who is a freelance personal trainer currently running a girls group training class known as “Joe’s Girls Group”. He shall hereinafter be referred to as “JOE”
AND
- THE FITNESS BUNKER, a gym located at …………………………… and of {Address} ………………………… hereinafter referred to as “THE FITNESS BUNKER”
NOW THESE TERMS ARE AGREED UPON BY THE PARTIES:
- Joe hereby enters into a contract with Fitness Bunker in which he shall use employees of Fitness Bunker to run his girls group program.
- For effective running of the class by the said employees, Joe shall instruct the employees on how to train the class as well as create work out programs for the class including but not limited to Barbell Classes and Racked Based Classes.
- Whereas Fitness Bunker also run a group class known as “Green Zone” that would compete with Joe’s Girls, employees of Fitness Bunker shall not under any circumstances and more so without Joe’s consent teach Barbell Classes, Racked Based Classes and/or other workouts created by Joe specifically for Joe’s Girls Group.
- If Fitness Bunker and/or its employees renege on the agreement not to teach Joe’s workouts to their clientele, they shall forfeit all profits earned from such classes to Joe and shall also compensate him for any time spent training the employees of Fitness Bunker.
- Fitness Bunker shall however be at liberty to offer a gym membership, Green Zone, boxing and yoga for Joe’s Girl Group clients who shall pay the requisite price.
- Joe will create, manage as well as purchase his own equipment or resources for advertisements relating to Joe’s Girls Group.
- The Fitness Bunker on the other hand shall run the advertisements for Joe’s Girls Group at their expense. The advertisements shall run month to month in which Joe shall provide, read and analyze the said advertisements to ensure they are effective.
- In the event that the advertisements draw more clientele and demand for Joe’s Girls Group classes increases, Joe will add more Girls Groups to the schedule already submitted to The Fitness Bunker.
- Joe shall at all times have the right to discount certain clientele who he opines can help advertise the Girls Group hence create more clientele and/or business.
PAYMENT
- For avoidance of doubt, Joe shall at all times collect payment from Joe’s Girls Group and shall personally make the payments to The Fitness Bunker as well as to the gym instructors at The Fitness Bunker.
- Instructors shall be paid USD 22.50 to instruct Joe’s Girls Group, which payments shall be drawn from profits gained from the class. As aforementioned, Joe shall make these payments and ensure that every instructor is duly compensated.
- After the instructors’ payment has been set aside and/or paid, Joe and The Fitness Bunker shall thereafter share the remaining amount in the ratio of 50:50, a process which shall be conducted by Joe, with transparency.
- This Contract shall commence upon the date of full execution by all parties and expire when the terms of this contract have lapsed or when the parties shall agree.
- The terms and conditions of this contract shall be binding upon the parties herein and any dispute arising shall be referred to mediation conducted by a mediator agreed upon by both parties.
- Any party shall be at liberty to terminate this contract subject to giving sufficient notice of ……… month(s), making all payments on outstanding arrears and making all logical arrangements that are required in the nature of the business the parties herein are engaged in.
- This Contract contains the whole agreement and understanding between the parties herein and supersedes all previous contracts (if any) whether written or oral between the parties in respect of such matters.
