CONTRACT FOR FACILITY LICENSE USE

THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………

BETWEEN

1.Urbanized LLC, a North Carolina entity located at [insert address], hereinafter referred to as (“Urbanized LLC”)

    AND

  1. Home of Grace NC LLC, a North Carolina entity located at [insert address], hereinafter referred to as (“Home of Grace NC LLC”)

WHEREAS, Urbanized LLC holds a facility license for a property located at [insert address], and Home of Grace NC LLC seeks to use this facility license to expedite the opening process of their business; and

WHEREAS, Urbanized LLC agrees to allow Home of Grace NC LLC to use its facility license, subject to certain conditions.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

  1. USE OF FACILITY LICENSE:

Urbanized LLC hereby grants Home of Grace NC LLC the right to use its facility license for the purpose of expediting the opening process of their business, subject to the conditions set forth in this Agreement.

  1. SWITCHING FACILITY INTO HOME OF GRACE NC LLC:

Home of Grace NC LLC agrees to switch the facility into their LLC before taking any clients and receiving monetary payments within 90 days after the new facility has been issued a license. The parties agree to execute any and all documents necessary to effectuate this transfer within the specified timeframe.

  1. TERM AND TERMINATION:

This Agreement shall commence on the date first above written and shall continue in effect until the parties have fulfilled their obligations under this Agreement. Either party may terminate this Agreement at any time by providing written notice to the other party.

  1. DISPUTE RESOLUTION:

In the event of any dispute arising out of or in connection with this Agreement, the Parties agree to first attempt to resolve the dispute through mediation. If mediation is unsuccessful, the Parties may pursue any other legal remedies available to them. The mediation proceeding shall be conducted in North Carolina, in accordance with the rules of mediation then in effect in the State of North Carolina, with one (1) Mediator to be selected by mutual agreement of the Parties.

  1. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina.

  1. ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.

  1. COUNTERPARTS:

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
