STREAMER/CONTENT CREATOR AGREEMENT

This Streamer/Content Creator Agreement (the “Agreement”) is entered into by and between XXX LLC (the “Organization”), located at [Organization Address], and [Streamer/Content Creator Name] (the “Streamer/Content Creator”), LOCATED AT XXX, collectively referred to as the “Parties.”

RECITALS

WHEREAS,XXX LLC (the “Organization”), a company located in XXX, is dedicated to the creation, promotion, and management of gaming content through streaming and other digital platforms. The Organization aims to build a strong presence in the gaming industry, connect with a wide audience, and establish partnerships with sponsors and advertisers.

WHEREAS, [Streamer/Content Creator Name] (the “Streamer/Content Creator”) is an individual possessing the necessary skills, expertise, and talent to produce engaging gaming content and stream on various platforms. The Streamer/Content Creator has demonstrated a successful track record in creating and streaming gaming content, attracting a dedicated following, and contributing to the growth of the gaming community.

WHEREAS, The Organization recognizes the value and potential of collaborating with the Streamer/Content Creator to enhance its content offerings, expand its reach, and provide unique experiences to its audience. The Streamer/Content Creator has expressed interest in joining the Organization to further develop their streaming career, receive support, and access opportunities for professional growth and exposure.

WHEREAS, The Parties intend to enter into an agreement that clearly defines their rights, obligations, and expectations, establishes a framework for collaboration and content creation, and outlines the terms under which the Streamer/Content Creator will operate as part of the Organization’s gaming content creation and streaming team.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Organization and the Streamer/Content Creator agree as follows:

  1. Term:
    • The initial term of this Agreement shall commence on [Start Date] and shall continue for a period of three (3) months (the “Initial Term”).
    • Upon expiration of the Initial Term, this Agreement may be renewed for subsequent terms of three (3) months each (each a “Renewal Term”) by mutual written agreement of the Parties.
  2. Performance and Obligations:
    • The Streamer/Content Creator agrees to perform the following obligations during the term of this Agreement:
      • Stream a minimum of [Number of Hours] hours per week on [Platform/Platforms] (the “Streaming Obligations”).
      • Create and post original gaming content on [Platform/Platforms] at least [Number of Times] times per week (the “Content Creation Obligations”).
      • Adhere to all rules and guidelines set forth by the Organization regarding content, conduct, and brand representation.
      • Promptly notify the Organization of any changes to the streaming schedule or inability to fulfill obligations under this Agreement.
      • Confirm that they have no other legal binding to any other team or organization.
      • Represent the Organization in a professional manner, refrain from engaging in any form of discrimination, abuse, violence, or behavior that may damage the reputation of the Organization through their association with one another.
      • Attend XXX events whenever possible, and in situations where attendance is not possible, provide a minimum of 48 hours’ notice to the Organization.
      • Include the Organization’s logo prominently in their stream.
      • Include that they are a streamer/content creator for XXX in their bios for social media platforms.
      • The Streamer/Content Creator agrees to collaborate with the Organization on sharing at least [Number of TikToks/YouTube Shorts] per month on the Organization’s TikTok and YouTube pages, utilizing their chosen platform(s) for content creation and sharing.
    • The Organization agrees to:
      • Pay for any events that the Streamer/Content Creator is expected to attend.
      • Edit [number] videos per month for the content creator in collaboration with the Organization.
      • Share a minimum of [Number of TikToks/YouTube Shorts] per month on the Organization’s TikTok and YouTube pages, based on the platform(s) utilized by the Streamer/Content Creator for content creation.
  1. Mediation and Arbitration:
    • In the event of any dispute arising under or in connection with this Agreement, the Parties agree to first attempt to resolve the dispute through amicable settlement or mediation conducted in accordance with the rules of North Carolina Mediation Body. If the dispute cannot be resolved through mediation, the Parties agree to submit the matter to binding arbitration in accordance with the rules of the American Arbitration Association.
    • Any mediation or arbitration proceedings shall be held in [City], North Carolina.
  2. Governing Law and Jurisdiction:
    • This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.
    • The Parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in [County], North Carolina.
  3. Sponsorship Revenue:
    • The Organization agrees to provide the Streamer/Content Creator with 10% of any sponsorship revenue generated during the term of this Agreement. Sponsorship revenue includes financial compensation, product endorsements, and other benefits derived from third-party sponsorships facilitated by the Organization.
    • The Organization shall provide the Streamer/Content Creator with a monthly report detailing the sponsorship revenue and the corresponding 10% share payable to the Streamer/Content Creator.
  4. Confidentiality:
    • The Streamer/Content Creator agrees to keep confidential any non-public information disclosed by the Organization that is related to its business operations, including but not limited to decisions about new streamers being signed on and other significant organizational decisions.
    • The Streamer/Content Creator shall not disclose any confidential information to any third party without the prior written consent of the Organization, except as required by applicable law.
  5. Termination:
    • Either Party may terminate this Agreement with or without cause by providing written notice to the other Party.
    • In the event of termination by the Organization for the Streamer/Content Creator’s failure to fulfill the Streaming Obligations or Content Creation Obligations, the Streamer/Content Creator shall be entitled to a notice period of [Number of Days] days to cure such failure before termination becomes effective.
    • Upon termination, the Streamer/Content Creator shall promptly return any property or materials belonging to the Organization.
  6. Intellectual Property:
    • The Streamer/Content Creator acknowledges and agrees that all intellectual property rights, including but not limited to trademarks, copyrights, and trade secrets, associated with the Organization’s brand, logo, content, and materials shall remain the exclusive property of the Organization.
  7. Non-Compete:
    • During the term of this Agreement and for a period of three (3) months following the termination or expiration of this Agreement, the Streamer/Content Creator agrees not to directly or indirectly engage in, be employed by, consult for, or participate in any capacity with any other gaming organization or similar entity (“Competitor”) that competes with the services offered by the Organization, whether within the geographical area of North Carolina, anywhere in the United States, or overseas.
    • The Streamer/Content Creator acknowledges that the non-compete obligation is reasonable and necessary to protect the legitimate business interests of the Organization, including its investment in developing and promoting the Streamer/Content Creator’s brand, audience, and content.
    • In the event that the Streamer/Content Creator breaches the non-compete obligation, the Organization shall be entitled to seek injunctive relief or other equitable remedies to prevent or restrain such competition, in addition to any other remedies available at law or in equity.
  8. Independent Contractor:
    • The relationship between the Organization and the Streamer/Content Creator is that of independent contractors. This Agreement does not create a partnership, joint venture, or employment relationship between the Parties.
  9. Entire Agreement:
    • This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and understandings, whether oral or written.
    • No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.

The Parties hereto have executed this Streamer/Content Creator Agreement as of the Effective Date first above written.
