CONSULTANCY SERVICE AGREEMENT
This Agreement is entered into on the ………………………. day of ………………2021 between DERMAL SKINCARE PTY LTD ABN: 69644039618 Trading as Skin & Body Rescue Clinic Address: 412 New South Head Road Double Bay NSW 2028 PHone: (02) 9327 1400 (hereinafter referred to as the ‘company’) and ………………. ABN Number …………………(hereinafter referred to as the ‘Consultant)
WHEREAS the Company and the Consultant hereby agree that the Consultant will provide consultancy services in the medical field by providing the clients with services related to skin fillers, Botox, injectable, and facial thread lifting, among others that may be agreed upon from time to time.
AND WHEREAS the parties agree to become bound under the contract herein as the per the following terms and conditions:
A. CONSLUTNACY SERVICES
The Consultant will be responsible for the following activities (collectively referred to as the ‘services’)
- a) Performing weekly consultation on skin fillers, botox, injectables, and facial thread lifting.
- b) Advising clients on the best options of treatment available according to their specifications.
- c) Assisting the Company in the technical evaluation of the treatment options available.
- d) Cooperating with the Company to promote the services offered at the facility.
B. VENUE
The services shall be performed at the company facilities, which include consultation with other personnel as required from time to time.
C. CONFIDENTIALITY
The parties are expected to keep the details of this Agreement confidential, including the client details, and are restricted from disclosing g such information in any way to third parties. Release of such information will only be allowed upon the party obtaining express consent.
D. COMPENSATION
a) In consideration of the consultancy services provided, the Company hereby agrees that the Consultant will retain 70% of the gross income, with the Company retaining 30% of gross income.
b) Payment shall be made within……………………days from the date of receipt of the invoice of itemized services and submission of the appropriate vouchers and receipts as may be reasonably necessary to substantiate the accrued payments.
E. TERMINATION
This Agreement shall be effective for a period of ………………………with each of the party having the right to terminate upon issuance of a 30-day notice as agreed herein.
F. INDEPENDENT CONTRACTOR
The Consultant herein is an independent contractor and is not deemed an agent, employee, or Company’s assignment for any purposes whatsoever. The Consultant shall therefore have no authority to bind on behalf of the Company. This Agreement does not entitle the Consultant to participate in any benefits program offered by the Company. The Consultant agrees to be responsible for any licensing obligations to the relevant professional bodies and relevant laws applicable to enable him/her to continue offering the services forming the subject matter.
G.NON COMPETE
During the term of this Agreement, the Consultant agrees that when treating the Company’s clients, he shall not promote other clinics and shall ensure no conflict of interest rises.
Similarly, the Consultant agrees that for a period of ………..after termination or end of this Agreement, he shall not engage with any other clinic in Double Bay or eastern suburbs during the restricted period.
H. ENTIRE AGREEMENT
This Agreement contains the entire understanding between the parties and supersedes any prior agreements in relation to the subject matter herein. This Agreement may be modified only with the express consent of the parties in writing.
- DISPUTE RESOLUTION
in case of any dispute arising between the parties herein in connection to the subject matter herein, it will be resolved through the use of Alternative Dispute Resolution Mechanisms with the laws of the state of ……………being applicable.
