This Consultancy Agency Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ___ day of __ 2021 (the “Effective Date”), between Olivier Bouviala, OLIVIER BOUVIALA, Contact Info: 6 Rue Lamartine, 56000 Vannes, France. SIRET NUMBER: 83081414100016 (herein referred to as the “Agency”) and WNW Pty LTD, Contact Info: 93 Station St. Fairfield, VIC 3073. (hereinafter referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be from 22/03/2021 to 21/4/2021. These shall be split into 20 days for the analyzation of the website and building the page and 10 days to see and analyze the final results.

  • SCOPE.

The Agency shall design pages for the Client’s website The services shall include making a full redesign of the page, and follow the Conversion Rate Optimization Principles.


The Client shall pay Two Thousand Two Hundred Dollars ($2,200) for the services covered in this Agreement. Payment shall be scheduled as follows; One Thousand One Hundred Dollars ($1,100) shall be paid on 22/03/2021, and the balance One Thousand One Hundred Dollars ($1,100) shall be paid on 11/04/2021 when the page is published on the website.

    • In the event that the Client is not pleased by the services provided for reasons such as the Page designed by the Agency having lower conversion rate compared to the previous page (results from February-March 2021) the Agency shall provide a full refund. The Comparison in conversion rate has to be made on the same source of traffic.
    • The Agency shall make a $1,100 refund if the Page is not published on the website by the 15/04/2021.

The Agency shall be retained as an independent contractor.  The Agency shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement. The Client shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Agency’s behalf during the term of this Agreement.

    • The Agency shall not assign and/or subcontract its rights or obligations under this Agreement without prior Notice or consent of the Client. In the event that the Agency assigns and/or subcontractors their obligations, they shall be responsible for payment of such services.
    • The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.

The failure on the part of the Agency to perform their obligation under this contract will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. The Agency shall inform the Client of such inconveniences promptly.


This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

    • This Agreement shall be governed by and construed in accordance with the laws of __________ [State/Country]. Exclusive jurisdiction and venue shall be in ___________ [State/Country]
    • This Agreement shall be binding upon and inure to the benefit of the Agency and the Client and their respective successors and assigns, provided that the Client may not assign any of their obligations under this Agreement without the Agency’s prior written consent.
