CO-PRODUCTION AGREEMENT

CO-PRODUCTION AGREEMENT

This Co-production Agreement (hereinafter referred to as the “Agreement”) is made on this _______ day of ___________ 2022 BETWEEN ___________________ (hereinafter referred to as the “Producer”) and _________________ (hereinafter referred to as the “Co-producer”). Together referred to as the “parties”.

1. Services.

The parties herein agree to produce a movie together as co-producers and share the profits and losses.

2. Ownership.

Each Co-Producer will have an ownership interest in the Production after the commitment by the Co-producer is fulfilled, some of the payments which are hereby acknowledged, and the balance is payable upon signing of this Agreement. The Co-Producers will own the Production Inventory as tenants in common.

3. Payment.

The parties will market and distribute the film exclusively on the Online streaming platforms (Website, Android & iOS) and promote it on the YouTube page.

The parties will pay __% per view that is more than 15 seconds for the life of the film on the platforms. 

A report will be generated monthly, and the payment will be made every month.

4. Confidentiality.

The parties herein acknowledge that they will share confidential information and use the information only in connection with the activities under this Agreement by working together.

All confidential information furnished under this Agreement shall remain the property of the furnishing party. There will be no disclosure to any third parties without the prior written consent of the other party.

5. Insurance.

Each Co-Producer will obtain an insurance policy to cover the project, and each party will furnish evidence of such coverage upon reasonable request of the other party.

6. Indemnity.

Each producer agrees to indemnify and hold harmless the other Co-producer and its employees, officers, and agents to the full extent of the law against any claims, liabilities, losses, damages, and expenses arising from the terms, obligations, and services to be provided under this Agreement. 

7. Liability.

Neither of the Co-Producers will be liable for any incidental, exemplary, punitive, or indirect damages arising out of or otherwise related to this Agreement.

8. Force Majeure.

Neither of the Co-Producers will be liable to the other or be considered in breach of this Agreement for any failure or delay in performing its obligations under this Agreement due to any act of God, natural disaster, war, terrorist act, riot, or other civil disorder any other similar event in each case beyond the party’s reasonable control.

9. Dispute Resolution.

Any dispute arising from the interpretation or performance under this Agreement shall be referred to Arbitration in accordance with the laws of Canada. Each party herein shall bear its legal fees.

10. Intellectual Property.

The parties herein agree and acknowledge that they co-own the story and the rights for the life of the movie on the platform.

11. Severability.

If any provision of this Agreement is deemed unenforceable, the same shall be severed from this Agreement, and the remaining provisions shall nevertheless be effective and enforceable.

12. Amendment.

The provisions of this Agreement may only be amended or modified by the same being in writing and signed by both parties.

13. Waiver.

A waiver by any party of any breach of a provision of this Agreement will not be considered a waiver of any later breaches or the right to enforce any provisions of this Agreement.

14. Assignment.

Neither party to this Agreement may assign its rights, duties, and obligations to anyone else without the prior written consent of the other party.

15. Governing Law.

This Agreement will be governed and construed in accordance with the laws of Canada. The parties herein consent to the Jurisdiction of Canada to resolve any arising dispute.

16. Entire Agreement.

This Agreement constitutes the complete and entire Agreement between the parties and supersedes any prior written or oral agreements or promises.
