CATERING SERVICE AGREEMENT
This Catering Service Agreement is made on this _________________ Between ______________________ (hereinafter referred to as the “Caterer”) and ______________________ (hereinafter referred to as the “Client”) together referred to as “parties.”
WHEREAS the Caterer has agreed to provide the following services to the Client on the below-agreed terms; –
The Client hereby agrees to engage the Caterer to provide the Client with the services of cooking and serving the agreed menu items.
The services to be provided to the Client by the Caterer shall be at ___________________ on ___________________.
Parties agree that this agreement shall be in full force and effect from the date of this agreement until the event is over.
Parties agree that there will be a service fee of _______ payable by the Client to the Caterer.
There shall be a non-refundable deposit to be agreed upon by the parties.
The above-mentioned payments shall be paid before the event and/or upon the arrival of the Caterer.
The parties shall agree on all the necessary arrangements and plans i.e., the timings for the delivery of the services herein.
- Non-exclusivity.
The parties agree that this agreement is non-exclusive and that either party is free to engage other parties with third party parties to provide the services herein or other services thereof.
The parties herein agree and acknowledge that they will come into contact with information or data that is confidential during the performance of the contracted services and agree not to disclose the confidential information to any third parties without the prior written consent of the other party.
- Time of the Essence
Time is of the essence in the services provided in this agreement
Parties agree that each party shall indemnify and hold harmless the other party, and its respective agents against any and all claims, losses, damages, and liabilities arising out of any act or omissions in accordance with this agreement.
This indemnification will survive the termination of this agreement.
It agreed and acknowledged that the relationship between the Caterer and the Client herein is that of an Independent Contractor and nothing should be construed to imply a partnership or joint venture.
- Dispute Resolution.
In case of any dispute or conflict that arises from the non-performance of the terms in this Agreement, parties mutually agree to negotiate and resolve the dispute. If the same fails, it shall be referred to mediation.
- Termination
If either party wants to terminate this Agreement, they must give the other party a 10 days prior written notice. The Caterer may terminate this agreement immediately if the required deposit is not paid.
Suppose a provision of this Agreement is found by a court of competent jurisdiction to be invalid and unenforceable. It will be severed from the Agreement, and the other provisions will continue and not be affected.
- Governing Law.
The terms of this Agreement will be governed by the Laws of Ontario, Canada.
Any amendment or modification to this agreement shall be binding upon the parties if the same is evidenced in writing and signed by each party.
A waiver by any of the parties herein of their rights in this Agreement does not infer a further waiver of that right or any other right in this Agreement.
- Entire Agreement.
The terms and obligations in this Agreement shall be construed as the entire Agreement between the parties about the subject herein.
