BUSINESS SERVICE AGREEMENT
This Business Service Agreement (hereinafter the “Agreement”) is entered on this
______ day of _______ 2022 by and between CABOT CAPE BRETON (hereinafter
referred to as the “Company”) and A SHORT STORY PICTURES (hereinafter
referred to as the "Provider"). Together referred to as "parties."
WHEREAS the parties have agreed to be legally bound by the following terms; –
1. Services.
The parties herein agree that the Provider shall conceptualize, shoot and edit the
company’s culture and recruitment video (along with multiple alternative edits) at the
agreed rates and terms indicated below.
2. Deliverables.
The following are the agreed deliverables by the provider; –
i. Recruitment video (extended version).
A 2.5 – 3.0 minute video will include in-depth highlights of all department and
staff testimonials.
ii. Recruitment video (condensed version).
A 30 – 60 second video will include an expedited version of all department
and staff testimonials highlights.
iii. Individual department highlights.
A 3 – 4 individual videos, 30 seconds per video, highlighting each respective
department.
3. Term.
Parties agree that the terms herein shall be binding upon the parties during the
production period from 12 th September 2022 to 14 th September 2022.
4. Acceptance.
The client will be deemed to have accepted the terms and obligations herein upon
signing this Agreement and vice versa.
5. Payment Details.
The parties agree that the payment schedule will consist of three equal payment
installments; –
The first installment is charged upon receipt and signing of the agreement and
due prior to production – $ 2,350
The second installment is charged when production is finished and due prior
to beginning post-production – $ 2,350; and
The final installment is charged upon delivery of the final video assets and
due within 30 days of confirmation of delivery – $ 2,350
6. Guarantees.
i. The Provider shall ensure all work is completed and done on time.
ii. The deliverables shall be free of copyright claims and shall be original works
by the providers.
iii. There shall be an open channel for communication and comments between
the parties.
iv. The Provider will keep the company updated if any delays occur.
7. Intellectual Property.
Parties agree that the Company shall be the copyright and owner of the final
deliverable videos while the producer owns the assets of raw video files used to
complete the final videos.
8. Confidentiality.
Both parties acknowledge that during the performance of the services herein, parties
may come across information that is considered confidential. Parties agree not to
disclose this information to any third parties without prior written consent from the
other party unless the information is shared with the employees during the cause of
the performance of the duties and obligations herein, who shall not disclose the
confidential information with any third parties without the written consent from the
other party.
9. Governing Law.
Parties herein agree that the provisions of this Agreement shall be construed in
accordance with the laws of Nova Scotia, Canada
10. Indemnification.
The provider agrees to hold harmless the Company against all claims, liabilities, or
damages that may arise from the performance of the terms contained herein except
when such loss or damages is from the Company’s negligence, to which they will
hold harmless the provider from any liabilities or damages.
11. Force Majeure.
Neither party herein shall be held liable for failure or delay in performing the
obligations and duties set herein or be deemed to be in breach of these Terms if
such failure, delay, or the breach, was caused by Acts of God, natural disaster, war,
government restrictions or any other reasonable causes beyond the control of either
party.
12. Entire Agreement.
The terms and provisions contained in this Agreement constitute the entire
Agreement between the parties and supersede any prior written or oral agreements
or promises.
