BUSINESS PROPOSAL AGREEMENT
This Business Proposal Agreement herein referred to as the “Agreement” is made
and entered into on _____________________ between WEALTH MEDIA VISION,
hereinafter the ”Company,” and KEITHRIC THOMAS hereinafter referred to as the
“Investor.”
WHEREAS the parties herein have willingly agreed to enter into this Agreement and
to be legally bound as follows:
1. Investment.
Within _____ days from the date of signing hereof, the investor shall pay and/or
invest $165,000 from now on referred to as the “Investment.”
The investment shall be for; –

2. Term.
Parties herein agree that the Agreement will be valid for four years from the signing
date.
3. Benefit.
The parties agree that as a benefit of the investment, the investor shall receive in
return a 25% of the profit monthly and a $2,000 allowance for truck payments.
The truck is projected to earn $40,000 on the low end, and after expenses, all parties
will be paid.
4. Usage.
Parties agree that a 10% fee shall be set aside for maintenance and repairs, and a
10% fee will be set aside for truck insurance.
5. Confidentiality.
All the terms and conditions of this Agreement and any confidential information must
be kept confidential unless disclosure is required under the process of law.
Disclosing or using this information for any purpose beyond the scope of this
Agreement or the exceptions set forth above is expressly forbidden without the
Parties’ prior consent.
The Parties agree that the confidentiality clause will remain active and in power even
upon completion.
6. Intellectual Property.
The Intellectual property, the 2010 digital billboard truck, owned by the Company is
its property.
7. Conflict Resolution.
The company and the investor hereby mutually agree to have mutual negotiations in
good faith if there arises a dispute and/or conflict concerning the services,
interpretation, obligations, etc., envisioned under this agreement. If the negotiations
fail, parties may resolve the issue/dispute/conflict through an Arbitrator whose
decision shall be final and binding on all parties. The costs of such proceedings shall
be borne equally by both parties.
8. Entire Agreement.
This Agreement contains the entire understandings of the parties concerning the
subject matter herein and supersedes all previous agreements (oral and written),
negotiations, and discussions. The descriptive headings of the sections of this
Agreement are inserted for convenience only and shall not control or affect the
meaning or construction of any provision hereof.
Any modifications or amendments to this Agreement must be in writing and signed
by both parties.
9. Choice of Law.
This Agreement shall be construed, governed, interpreted, and applied according to
the Laws of the State of Texas.
10. Waiver.
The waiver by either party of the breach of any covenant or provision in this
Agreement shall not operate or be construed as a waiver of any subsequent breach
by either party.
11. Severability.
In the event a court of competent jurisdiction declares any term or provision of this
Agreement to be invalid or unenforceable for any reason, this Agreement will remain
in full force and effect and either:
a. The invalid or unenforceable provision(s) will be modified to the minimum
extent necessary to make such provision(s) valid and enforceable; or
b. If such a modification is not possible, this Agreement will be interpreted as if
such invalid or unenforceable provision(s) were not a part of this Agreement.
12. Counterparts.
This Agreement may be executed in any number of counterparts, all of which will
constitute the same instrument and be an original of this Agreement.
