BUSINESS PARTNERSHIP AGREEMENT
This Business Partnership Agreement (hereinafter referred to as the “Agreement”) is made on __________________20___ Between Frank and Ty Taylor, and Christopher Green (hereinafter referred to as “partners”). Together referred to as the “Parties/Partners”.
WHEREAS the parties/partners agree to partner with Estefes Ranch (hereinafter referred to as the “Ranch”) with all parties/partners delivering their allotted task and have agreed to be legally bound by the following terms; –
The agreement shall begin on the date signed by the parties below (hereinafter referred to as the “Effective Date”) and continue for a period of one year after which parties can renegotiate the terms.
- Property.
The property is located at ____________________ where the parties shall engage in the business of _________________.
- Finance.
Parties agree that all the finances will be paid on a monthly basis to all the parties/partners provided account details.
The agreed financial breakdown is as follows; –
- 60% – Estefes Ranch
- 30% – Christoper Green
- 10% – Frank and Ty Taylor
Parties herein further agree that Christoper Green will keep all payments received from the training of horses while on the above property, minus $100 per horse trained which will be paid to Estefes Ranch monthly.
- Banking.
All the funds shall be deposited in one account where the revenue for each partner/party shall be withdrawn and paid to the parties in accordance with the agreed financial breakdown.
- Termination.
Parties herein agree that this agreement is binding and can only be dissolved by an agreement of all the parties.
- Dispute Resolution.
Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by mediation in accordance with the applicable rules, and per a vote that will take place amongst all said parties.
- Governing Law.
This Agreement shall be construed, governed, interpreted, and applied according to the Laws of the State of Georgia.
Parties further agree that any significant legal decisions shall be subjected to a vote amongst the partners.
The waiver by either party of the breach of any covenant or provision in this Agreement shall not operate or be construed as a waiver of any subsequent breach by either party.
At no time can Estefes Ranch secure any of the above parties said property that is kept on the ranch, personal property will be limited to and agreed upon before being placed on the property.
In the event a court of competent jurisdiction declares any term or provision of this Agreement to be invalid or unenforceable for any reason, this Agreement will remain in full force and effect and either:
- The invalid or unenforceable provision(s) will be modified to the minimum extent necessary to make such provision(s) valid and enforceable; or
- If such a modification is not possible, this Agreement will be interpreted as if such invalid or unenforceable provision(s) were not a part of this Agreement.
- Amendment of Agreement.
This agreement cannot be amended without the written consent of all partners.
IN WITNESS WHEREOF, the partners hereunto set their signatures and acknowledged this Agreement as the date first above written.
