This Business Investment Contract (the “Agreement”) is made and entered into on xxxx (the “Effective Date”), by and between xxxx, located at XXXX, (the “Investor”), and THIRTY THIRTY, LLC, located at ZZZ (the “Company”).
RECITALS
WHEREAS, the Company is engaged in the business of commercial real estate; WHEREAS, the Investor desires to invest in the Company as a silent partner; and WHEREAS, the Company is willing to accept the investment from the Investor. WHEREAS, the parties acknowledge and agree to comply with all applicable laws and regulations of the State of Georgia, including but not limited to those related to commercial real estate and investment.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
- Investment
- The Investor shall invest the sum of $300,000 (the “Investment Amount”) in the Company.
- The Investment Amount shall be used by the Company to purchase a commercial real estate property legally described as follows:
- A commercial real estate property locatedy located at 2145 Collins Hill Road, Lawrenceville, Gwinnett County, Georgia 30043.
- Ownership Interest
- In consideration of the Investment Amount, the Company shall issue to the Investor a 15% ownership interest in the Company (the “Ownership Interest”).
- The Ownership Interest shall entitle the Investor to receive 15% of any proceeds upon the sale or other disposition of the Company.
- Distribution of Profits
- The Company shall pay to the Investor a fixed monthly amount of $667 as an investment return, starting on the first day of the month following the execution of this Agreement.
- The monthly payments shall continue until the earlier of (i) the sale or acquisition of the Company, or (ii) termination of this Agreement by either party upon written notice to the other party, and the Investment Amount and any profits due to the Investor have been paid in full.
- Management of Company
- The Investor shall not participate in the management or operation of the Company, but shall have the right to inspect the books and records of the Company upon reasonable notice.
- Confidentiality
- The Investor shall keep confidential all information relating to the Company’s business and affairs.
- Term
- This Agreement shall commence on the Effective Date and continue until terminated by either party upon written notice to the other party, and the Investment Amount and any profits due to the Investor have been paid in full.
- Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the state of Georgia.
- Entire Agreement
- This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
