BUSINESS AGREEMENT
This Business Agreement (hereinafter referred to as the “Agreement”) is made on
__________________20___ by and Between ________________________
(hereinafter referred to as the “Company”) and ______________________
(hereinafter referred to as the “Client”). Together referred to as “parties.”
1. Service.
The parties hereby agree that the Company shall provide the following services; –
i. Create a special webpage for the client’s products alone.
ii. ________________________________________
iii. ________________________________________
2. Term.
The services herein shall be for a period of _________ from the date of signing
hereof until otherwise terminated.
3. Compensation.
The parties agree that the Company will pay the clients their share of the profit once
a month, on a date to be agreed between the parties into the client’s account.
4. Pricing.
The Company shall provide a total cost per item to the client who will choose their
selling price and the difference plus selling fees will be their profit.
Parties agree that shipping will not be included in the price, because it will vary by
order.
The agreed amount for the creation of the special webpage for the client shall incur a
cost of $75 as setup fee.
5. Confidentiality.
All the terms and conditions of this Agreement and any confidential information must
be kept confidential unless disclosure is required under the process of law.
Disclosing or using this information for any purpose beyond the scope of this
Agreement or the exceptions set forth above is expressly forbidden without the
Parties’ prior consent.
The Parties agree that the confidentiality clause will remain active and in power even
upon termination.
6. Non-Disclosure.
The parties herein agree and acknowledge not to disclose the terms and information
of this agreement to any third party.
7. Intellectual Property.
The parties herein agree that the sales webpage belongs to the company. However,
the designs provided by the client belong to them. The company does not own or will
not sell the client’s designs as it is their intellectual property.
8. Termination.
The parties herein may terminate the terms of this Agreement for any reason. In the
event of termination, there will be an option for the Client to terminate the contract
however a £6000 fee will be payable within 30 days of termination.
9. Dispute Resolution.
Any controversy or claim arising out of or relating to this Agreement, or the breach
thereof, shall be settled by mediation in accordance with the applicable rules of the
State of Arizona. If mediation fails, the dispute shall be referred to Arbitration, which
is binding upon the parties and conducted under the rules of the American Arbitration
Association.
10. Governing Law.
This Agreement shall be construed, governed, and interpreted according to the
applicable Laws of the State of Arizona.
11. Waiver.
The waiver by either party of the breach of any covenant or provision in this
Agreement shall not operate or be construed as a waiver of any subsequent breach
by either party.
12. Severability.
In the event a court of competent jurisdiction declares any term or provision of this
Agreement to be invalid or unenforceable for any reason, those provisions shall be
severed from this agreement and the remaining terms of this Agreement will be in full
force and effect
13. Amendment.
This Agreement cannot be amended without the written consent of all parties herein.
IN WITNESS WHEREOF, the parties hereunto set their signatures and
acknowledged this Agreement as the date first above written.
