BOOK PUBLISHING AGREEMENT
This Agreement effective as of __________________________ (‘Effective Date’) is entered into by and between _____________________________ (hereinafter ‘Author’) AND Jesus Girl LLC (hereinafter ‘Company’). Individually referred to as ‘Party’ and collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:
- BOOK AUTHORSHIP
The Author will collaborate with other authors to write a book titled: __________________________ which shall be owned by Jesus Girl LLC. The names of the authors shall appear on the jacket and the title page of the Book.
- SALE PROCEEDS
The Company will retain 100% of the profits obtained from the sale of the book by the organization, including any online sales, bookstores, book signings, conferences, or otherwise. Each author can buy wholesale through the Company and sell their own copies of the book and keep 100% of those proceeds for themselves.
- COPYRIGHT
The Copyright in the Book and any images thereof shall be the intellectual property of the Company. Any and all promotional and marketing materials of the book are also owned by the Company. The Authors can purchase wholesale books from the Company for re-sale however they cannot use parts of the book or publish without obtaining permission from the Company.
- RELATIONSHIP OF THE PARTIES
This agreement does not constitute a permanent partnership between the Parties. The Authors are independent contractors and they are not entitled to any fringe benefits from the Company. Each Party is responsible for their own taxes on all sales.
- REPRESENTATION
The author represents and warrants to the Company that any material written or provided in connection with the Book is not in any way a violation of copyright, or common law, or right of privacy, and that is contains nothing of a libelous or obscene nature.
- CONFIDENTIALITY
The parties to this Agreement agree that each shall treat as confidential all information provided by a party to the others regarding such party’s business and operations. All confidential information provided by a party hereto shall be used by any other parties hereto solely for the purposes of rendering services pursuant to this Agreement and, except as may be required in carrying out the terms of this Agreement, shall not be disclosed to any third party without the prior consent of such providing party. The foregoing shall not be applicable to any information that is publicly available when provided or which thereafter becomes publicly available. This section shall survive the termination of this Agreement.
- NON-COMPETE
During the term of this Agreement and after the term of this Agreement, the authors shall not directly or indirectly in any manner copy the contents of the book or publish a book with the same title as the subject matter of this Agreement.
- INDEMNIFICATION
Each party agrees to indemnify and hold the other party harmless against any loss or damage arising out of a breach of any warranties or any other incorrectness in any of the representations.
- DISPUTE RESOLUTION
Any disputes arising between the Parties shall be solved in good faith through mediation.
- GOVERNING LAW
This Agreement shall be interpreted and construed according to the laws of the State of ______________________.
- ENTIRETY
This Agreement constitutes the entire contract between the parties. All terms and conditions contained in any other writings previously executed by the parties regarding the matters contemplated herein shall be deemed to be merged herein and superseded hereby. No modification of this Agreement shall be deemed effective unless in writing and signed by the parties hereto.
