ARTIST LICENSE AGREEMENT.
This Artist License Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “effective date”), between Saad Mubarak, Contact Info: Kuwait, Hawally Al Mutanabi Street Block 5(hereinafter referred to as the “Licensee”), Wu Junwei, Contact Info: 85 lianxing Street, Shanwei City, Guangdong Province (hereinafter referred to as the “Artist”), and Deng Jia, Contact Info: 109 Building 11, Hongding Wanrong City, Chengdong new district, Dongtai City, Jiangsu Province (hereinafter referred to as the “Animator”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period _____ [Days/Weeks/Months], commencing on the Effective Date herein.
- SCOPE.
The Artist and the Animator shall provide the Licensee with Digital Media Files, as ordered and following instruction. The Licensee wants the following Digital Media Files _________.
- PAYMENT/CONSIDERATION.
The Licensee shall make a one-time payment of ____________ to the Artist and ________ to the Animator for the Digital Media Files covered under this Agreement, for the final product that shall be provided. Payment shall be made through PayPal.
- COPYRIGHT/LICENSING/INTELLECTUAL PROPRIETARY RIGHTS.
- The Parties acknowledge and agree that once the Licensee has paid for the Digital Media Files and the Digital Media Files have been transferred from the Artist and Animator to the Licensee, the Licensee shall have the express permission to use, sell, license, reproduce, distribute, and/or display the Digital Media Files in websites and/or on any other platform for commercial purposes as the Licensee sees fit. The Licensee shall also have the express permission to post, upload, and/or transfer any part of the Digital Media Files or work product in any form website.
- The Parties acknowledge and agree that the Artist and the Animator shall retain their copyrights and intellectual proprietary rights to the Digital Media Files and that no part of this Agreement and/or the licensing means that the Artist or the Animator has forfeited their rights as covered herein.
- ASSIGNMENT/WAIVER.
- This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and assigns, provided that none of the Parties may assign any of their obligations under this Agreement without prior written consent of the Parties.
- The waiver by either Party of any breach or failure to enforce any of the terms of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
- FORCE MAJEURE:
The failure on the part of the Artist and/or the Animator to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. They shall however be required to communicate such delays/inconveniences promptly.
- DISPUTE RESOLUTION.
In the event of disputes arising about the execution of this Agreement and/or performance of obligations stated herein, the Parties shall solve such issues through a mediation process.
- MODIFICATION.
This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
- GOVERNING LAW/JURISDICTION.
This Agreement shall be governed by and construed in accordance with the laws of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country].
Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
