Hereinafter, the Artist and Client may be referred to individually as “Party” and
collectively as the “Parties”
1 SCOPE OF THE AGREEMENT
1.1 Artist is in the business of producing commissioned artwork and Client is desirous
of the Service (the “Services”).
1.2 This Agreement sets forth the terms and conditions whereby Artist agrees to
create a work of art (the “Work”), as described below, for the Client. Client has
commissioned the Work.
1.3 Artist will be engaged solely and exclusively for the limited purpose of creating
the Work for the Client.
2 DESCRIPTION OF SERVICES
2.1 The Work being commissioned for Artist to create through this Agreement is as
follows:

3 ARTWORK CHARGES
3.1 The Work charges of this Agreement by Artist to Client are as follows;
I. Bust- $30 line art
Color- $40
II. Half body- $60 line art
Color- $70
III. Full body- $100 line art
Color- $125
IV. Full image with Background and Color- $150
V. 1 free Revision of Commissioned Work
VI. Additional Revision- $60
VII. Non-refundable deposit of half the full price.

4 WARRANTY
4.1 Artist agrees to create the Work allowed above with the highest quality and
care. Artist represents and warrants that Artist has the knowledge, skills, and
experience necessary to produce the Work. Artist also guarantees that the Work
will be original and that the final Work will be free from any plagiarism or
likeness to a Work belonging to or created by Artist.

5 PAYMENT TERMS
5.1 For the commission of the Work, Client will pay Artist____________[AMOUNT]
($0.00) (the “Fees”).
5.2 Client shall pay Artist a non-refundable deposit of ____________ [AMOUNT]
($0.00). The deposit shall be inclusive of the Fees and shall be due before Artist
begins the commissioned Work.
5.3 The remaining balance of ____________[AMOUNT] ($0.00), shall be due on
completion of Work.
5.4 Payments will be made processed through an invoice sent via (Artist’s or
Business Name≥ online store), Pay pal, Cash App, Credit Card, or Venmo.
6 DELIVERY
6.1 Artist agrees that the Work will be completed by the following deadline

6.2 The Client agreed and understands that revision requests may delay the final
delivery of services. The Artist will do the best of their ability to deliver revised
Work in a timely manner.
7 LATE DELIVERY
7.1 ALL attempts will be made to complete the Work by the above listed date but in
the case of unforeseen circumstances, the Client will be notified of any delays
within seventy-two (72) hours of the Deadline or as soon as a delay is caused.
7.2 Client will be reimbursed (or discounted) twenty (20%) of the price if the Work
is not delivered on time and reimbursed (or discounted) IN FULL if it is not
completed within two (2) weeks of the originally promised Deadline.
7.3 In both cases, Client will still receive the artwork in addition to the discount.
This disclaimer only exists for extreme circumstances, the Work is nearly always
delivered on time.
8 THE WORK
8.1 The commissioned piece of Work will satisfy the following requests of the Client:

9 REFERENCE PHOTO (S)
9.1 Quality reference photos matter and make a huge difference in the end
product of portraits. It also helps to have multiple reference photos for the best
capture. The Client confirms that reference photos are of the best quality available,
well-lit and without significant obstruction such as graininess or blurred images.
9.2 If the supplied photo (s) do not meet these qualifications, then the Client will be
notified and understands that it may heavily impact the success of the artwork
as far as recognizability and realism.
9.3 ANY alterations/changes requested from the Reference photo(s):

10 RIGHT TO REFUSAL
10.1 The Client retains the right to not purchase commissioned Work at any time.
Please note that any money already paid before refusal will not be refunded to
the Client under these circumstances. This statement relieves The Artist of being
indebted to Client if this occurs.
11 UPON COMPLETION
11.1 Upon completion, the Artist will supply images of the completed Work for
approval by Client. If the Client has not paid in full then the images will be
heavily watermarked. These watermarks will not obstruct the view of the Work
so much that the Client will not be able to determine approval.

12 REVISIONS
12.1 Satisfying the Client is of utmost importance but there ARE limits to what will be
altered at the request of the Client. The Artist will only make revisions that are
within the confines of existing style and that do not clash with the mission or
vision of the Artist. This is for the intent of staying committed to business
purpose and brand.
12.2 The Client is entitled to One (1) round of revision offered free of charge. After
that there is a flat rate of sixty ($60) dollars for additional revisions requested.
12.3 The Client will be notified of a new completion date at the request of any
revisions.
13 COPYRIGHT OWNERSHIP
13.1 Artist retains all copyright of the produced Artwork. Ultimately this means that
the Client has permission to share the work publicly and use it on display for
private use but any reproduction of the work, especially reproductions that will
be used for profit or commercial uses, is strictly prohibited unless approved by
the Artist in writing. Failing to do so is a crime and may result in legal action.

14.1 If yes, this does NOT constitute the selling of copyrights. These are merely the
approved circumstances of the reproduction agreement.
15 SHARING OF ART
15.1 Social media sharing and other public sharing of artwork are vital for marketing
purposes of the Artist. This includes, but is not limited to, Work potentially
being displayed on Artist’s Facebook, Instagram, Twitter, website, studio,
brochures, web and print advertisements and business documents. The Client
consents to completed Work, as well as reference photos, being used for these

purposes. If there are things that the Client does not consent to then they are as
follows:

15.2 This may result in a higher price as it ultimately hurts the Artist’s ability to
advertise business representatively.
16 DELIVERY OVERSEAS
16.1 If Client is getting Work shipped, please note that the Artist is not responsible
for any possible damage during shipment. The Artist will pack artwork with the
finest packing materials for fragile work and label the package "Fragile" but it
does not guarantee damage free delivery. Shipping Insurance can be purchased
by the Client ahead of time.

17 DELIVERY OF DIGITAL ART
17.1 The Artwork files will be uploaded to a Dropbox folder. A link will be sent to the
Client for access to this folder. The Artist will leave the Dropbox folder available
for two (2) weeks after completion, unless otherwise requested, so it is vital
that the Client downloads the files as soon as possible.
17.2 If the Client requires the files be sent again, the Artist MAY require a twenty
($20) dollars fee. Rendering, downloading and uploading may be required again
which takes significant time and storage fees may apply for the Dropbox access.
This fee can be avoided if Client manages to remind the Artist to hold on
removing the folder.
18 TERMINATION
18.1 The Artist reserves all rights to terminate this Agreement if;
I. The Clients commissions artwork that the Artist would not produce as stated in
Section 2 (2.3).

18.2 This Agreement shall terminate automatically if the Client cancels the
production of commissioned Work.
19 GOVERNING LAW
19.1 This Agreement shall be construed and enforced in accordance with the laws of
the Province of British Columbia.
20 FORCE MAJEURE
20.1 In no event shall the Parties be responsible or liable for any failure or delay in
the performance of its obligation under this Agreement arising out of or caused
by, directly or indirectly, forces beyond its reasonable control, including without
limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or
military disturbances, nuclear or natural catastrophes or acts of God, and
interruptions, loss or malfunctions of utilities, communications or computer
(software or hardware) services.
21 SEVERABILITY
21.1 In the event that any provision of this Agreement shall be deemed to be
severable or invalid, and if any term, condition, phrase or portion of this
Agreement shall be determined to be unlawful or otherwise unenforceable, the
remainder of the Agreement shall remain in full force and effect, so long as the
clause severed does not affect the intent of the parties. If a court should find
any provision of this Agreement to be invalid or unenforceable, but that by
limiting said provision it would become valid and enforceable, then said
provision shall be deemed to be written, construed and enforced as so limited.

22 ENTIRE AGREEMENT
22.1 This Agreement constitutes the entire and only agreement between the Parties
and all other prior negotiations, agreements, representations and understandings
are superseded hereby.
