ART AGREEMENT.
This Art Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between ________________, Address ____________ (hereinafter referred to as the “Company”), and _____________, Address ____________ (herein referred to as the “Artist”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be indefinite, commencing on the Effective Date herein.
- SCOPE.
The Company shall work with the Artist with the aim of either purchasing the Artist’s designs or granting the Company permission to use the designs for a period of time. In the event that the Artist grants the Company to use their designs, the Company shall use the said designs for a period of;
☐One month or less.
☐Two to six months.
☐Six months to twelve months.
☐Twelve months or more.
- PAYMENT.
The Company shall pay the Artist ____ Euros for the designs. Additionally the Company shall give the Artist credit for the designs and give prospective art enthusiasts referral to the Artist.
- TERMINATION/CANCELLATION.
The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a ___ Day Written Notice on the same.
- COPYRIGHT/INTELLECTUAL PROPERTY.
- The Company shall own all the copyright and intellectual property rights to the designs once the purchase has been made and the design transferred by the Artist to the Company. The Artist shall not lay any claim or rights to the designs once the artwork is transferred to the Company or upon the termination/cancellation of this Agreement.
- If the Agreement is for the purpose of granting the Company permission to use the designs for a specific period of time, the Artist shall retain/own all the copyright and intellectual property right to the designs. The Company shall not sell, reproduce, copy or pass off or even advertise the designs as their own work.
- LIABILITY/WAIVER.
- The Company shall not, during the term of this Agreement, be held liable for any loss and/or damage cause to the designs while carrying out their obligations under this Agreement, as long as the loss and/or damage is not in any way due to the Company’s negligence. The Artist agrees to indemnify the Company against any claims that may arise from the performance of this Agreement.
- The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
- INDEPENDENT CONTRACTOR.
The Artist shall work as an independent contractor. The Artist shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement. The Company shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Artist behalf during the term of this Agreement.
- GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
- This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
- This Agreement shall be governed by and construed in accordance with the laws of the England. Exclusive jurisdiction and venue shall be in England.
- Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
