AGREEMENT OF PARTNERSHIP
This AGREEMENT OF PARTNERSHIP (“this Agreement”) is entered into by and between
Love and Fashion Entertainment Company with a business address of [ADDRESS] herein referred to as (“The Company”)
AND
[NAME] with a business address of [ADDRESS] herein referred to as (“Partner Company”) on [DATE].
The Company and the Partner Company shall be individually referred to as “A Party” and jointly as “Parties” to this contract.
NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings herein contained, the parties, intending to be legally bound, do agree as follows:
- The Agreement
Love and Fashion Entertainment Company (Company) agrees to partner with ____________________________ (Partner Company) under the terms contained in this agreement.
The Company agrees to provide models to be featured in the Partner Company’s magazine through photography.
The Partner Company shall provide the Company with all raw and edited images of the Models.
The Partner Company shall be responsible for selecting the location of the shoot.
Partner Company agrees to create a promo code for each model featured in their magazine. The promo code is intended to allow viewers to purchase a copy of the magazine and in turn allow the models to earn a specified percentage on sales through their individual links.
- Term and Termination
This agreement shall be effective for a period of __________________ (Years/months) unless earlier terminated according to the terms of this Agreement.
Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Unless otherwise mutually agreed to in writing, upon the termination of this Agreement, any arrangement for services then in effect will immediately terminate.
- Payments
- All payments shall be paid to Love and Fashion Entertainment Company every month.
- The Partner Company shall give permission to the Company to monitor magazine sales at least once every month for accountability purposes.
- Confidentiality and non-disclosure
- Neither Party will use, copy, adapt, alter or part with possession of any information of the other which is disclosed or otherwise comes into its possession under or in relation to this Agreement and which is of a confidential nature. This obligation will not apply to information which the recipient can prove was in its possession at the date it was received or obtained or which the recipient obtains from some other person with good legal title to it or which is in or comes into the public domain otherwise than through the default or negligence of the recipient or which is independently developed by or for the recipient.
- Breach of this confidentiality clause may result to a legal action taken against the party in breach.
- Intellectual property
The Parties acknowledge and agree that they both have intellectual property to be protected. Each party agrees to respect the intellectual property of the other by not infringing any intellectual property including, but not limited to, copyright and trademark rights.
- Relationship
- The Parties acknowledge and agree that the partnership formed between them has been formed legally and in good faith.
- Partner Company agrees not to engage with any of the Company’s models or have any of their affiliates of partners engage with the models for up to 2 years after the model has ceased worked with the Company.
- The Partner Company must seek the Company’s prior consent in the event the Partner Company would wish to engage in any dealings with the models.
- Entirety
This contract represents the entire agreement between the two parties and supersedes any previously written or oral agreement in place. This agreement may be modified at any time, provided there is written consent of both parties to this contract.
- Severability
The parties agree that if any portion of this contract is found to be void or unenforceable, it shall be struck from the record and the remaining provisions will retain their full force and effect.
- Jurisdiction
This contract shall be governed, interpreted, and construed in accordance with the laws of [STATE, PROVINCE OR TERRITORY].
