        AGREEMENT FOR WORK PERFORMED

THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and Twenty-Three

BETWEEN

1.XXXLLC, a XXX corporation registered under the number XXX, having its principal place of business at XXX represented by its managing members, XXX with an address at XXX and XXX, with an address at 1\XXX (hereinafter referred to as “XXX LLC”),

AND

  1. XXX LLC, represented by its member Katarina Maloney with an address at XXX (hereinafter referred to as “XXX LLC”).

RECITALS

WHEREAS, IAE LLC has engaged XXX LLC to perform certain work related to the building located at XXX, (the “Building”) from XXX to XXX, with the understanding that the work may continue until the settlement or sale of the Building occurs; and

WHEREAS, in the event of a settlement, XXX LLC agrees to reimburse XXX LLC for expenses up to $150,000; and

WHEREAS, in the event of a settlement, XXX LLC is entitled to a commission based on the total sum of the settlement as specified below; and

WHEREAS, in the event that no settlement is paid and successful, Calibioscience MT LLC is entitled to receive $150,000 from the proceeds of the sale of the Building.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

  1. SCOPE OF WORK:

XXX LLC agrees to provide services to XXX LLC for work performed on the Building located at XXX, from XXX until XXX, and thereafter until the settlement or sale of the Building occurs. The work to be performed includes but is not limited to managing the corporation, handling lawsuits, and managing the building.

  1. COMPENSATION AND COMMISSION:

4.1 Reimbursement of expenses:

In the event of a settlement ,XXX LLC shall reimburse XXX LLC for expenses incurred during the performance of the work, up to a maximum of $150,000. XXX LLC shall provide itemized receipts and documentation to support the expenses claimed.

4.2 Commission on Settlement:

In the event of a settlement, XXXLLC shall be entitled to a commission based on the total sum of the settlement as follows:

  1. a) 10% commission on any settlement amount up to $3 million;
  2. b) 7.5% commission on any settlement amount between $3 million and $6 million;
  3. c) 5% commission on any settlement amount above $6 million.

The commission shall be calculated based on the total sum of the settlement received by all parties involved.

4.3 Sale of Building:

In the event that no settlement is paid and successful, Calibioscience MT LLC shall be entitled to receive $150,000 from the proceeds of the sale of the Building, provided that the work has been performed and owned by Calibioscience MT LLC as of the current date. The amount shall be paid to Calibioscience MT LLC within [number of days] days of the completion of the sale, subject to the agreement of all three partners and owners specified in this agreement.

  1. OWNERSHIP AND MEMBERSHIP INTERESTS:

The ownership and membership interests of IAE LLC are as follows:

  3. DISPUTE RESOLUTION:

The Parties shall attempt to resolve the dispute amicably through mediation before resorting to litigation. The mediation shall be conducted in accordance with the rules and procedures of Nevada Mediation Center, a reputable mediation service provider based in Nevada. Each Party agrees to participate in good faith and to designate a representative with decision-making authority to attend the mediation sessions. The costs of the mediation, including the mediator’s fees and expenses, shall be shared equally by the Parties unless otherwise agreed upon. If the dispute between the Parties cannot be resolved through mediation, the Parties hereby agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts located in the state of Nevada, United States of America.

  1. NON-DISCLOSURE:

The parties acknowledge that during the performance of their obligations under this agreement, they will come into contact with confidential information, trade secrets, and intellectual property which they acknowledge and agree not to disclose to any third parties without the prior written consent from the other party.

  1. GOVERNING LAW AND JURISDICTION:

This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada, without regard to its conflict of laws principles.

  1. NOTICES:

Any notice or communication required or permitted to be given under this Agreement shall be in writing and shall be delivered personally, sent by registered mail, sent by recognized overnight courier service, or sent by email to the following addresses:

  1. ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior discussions, understandings, or agreements, whether written or oral. This Agreement acts retroactively from the date first above written, and any work performed and owned by XXX LLC as of the current date is covered under this Agreement.

  1. AMENDMENTS:

No amendment or modification of this Agreement shall be valid or binding unless it is in writing and signed by all three partners and owners specified in this agreement. Additionally, to void this Agreement, all three partners and owners specified herein must provide their written consent.

  1. WAIVER:

The parties agree that no waiver of the rights under this agreement shall be construed as a continuing waiver or as consent to any future or subsequent breaches.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
