AGREEMENT FOR SIGNING UP HOTELS/RESORTS
This is an Agreement for Signing up Hotels/Resorts made by Clover Consulting (the “Signor”) located at India AND _______________ (the “Hotel) of address__________________on _________________ (Effective Date).
WHEREAS, Clover Consulting specializes in lead generation for Time Share Companies for bid resort groups or even individual resorts.
WHEREAS, the Hotel/Resorts lay out their requirements for leads and Clover Consulting generates leads for them.
Now, therefore in consideration of the foregoing premises and of mutual promises and covenants herein contained, the parties intending to be legally bound do hereby agree as follows:
- OBLIGATIONS OF CLOVER CONSULTING
Clover Consulting shall generate leads for hotels and resorts according to their requirements. In addition, Clover Consulting may upon request, give advice to the hotels/resorts on Lead generation.
- OBLIGATIONS OF HOTEL/RESORTS
The Hotel/Resort should provide their requirements for lead generation detailed promptly and clearly to Clover Consulting.
Hotel/Resort should fully compensate Clover Consulting for the services rendered.
- CONSIDERATION
In Consideration of the Services provided by Clover Consulting, Hotels/Resorts shall compensate them a commission of 10% of net sales for all vacation ownership/timeshare deals sold through the leads generated and $ 20 per lead that attends the timeshare presentation. Both Payments are made at the end of every month.
- TERM
This Agreement will remain in effect for two years and upon expiry of the two years, both parties shall renew the Contract.
- TERMINATION
Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Clover Consulting shall terminate this Contract if payments are held by the Resort/Company for a period of 3 months. Upon termination, Hotel shall fully compensate Clover Consulting the defaulted payments.
The Hotel/Resort may terminate this Agreement if they are dissatisfied with the services offered by Clover Consulting. In case of termination, they are required to supply a two month notice to Clover Consulting. During the two months, the hotel continues to receive guests.
- ENTIRETY
This Contract represents the entire agreement between the two parties and supersedes any previous written or oral agreement. No change, alteration, modification and or addition to this Agreement shall be effective unless in writing, properly executed by the parties hereof.
- SEVERABILITY
If any provisions of the Agreement shall be declared to be invalid or unenforceable, in whole or in part, such invalidity or enforceability shall not affect the remaining provisions hereof, which shall remain in full force and effect.
- DISPUTES
Except as otherwise specifically agreed to in writing by both parties, any dispute relating to any rights and obligations arising in this Agreement which is not resolved by the Parties shall be adjudicated upon by any court of competent jurisdiction.
- GOVERNING LAW
This Agreement and its interpretation shall be governed by the laws of _____________ (state the COUNTRY).
