AGREEMENT

This agreement (“Agreement”) is made and entered into as of [date] (the “Effective Date”), by and between XXXX located at YYYY and ZZZZ  , located at YYYY.

1. DESCRIPTION OF SERVICES

XXX agrees to perform the following services:

• Perform visual head checks on all campers and staff on the dates contracted. Perform Lice Treatment on any Campers or Staff that has tested positive for Head Lice (human pediculosis) with consent of Camp Director or parent. See the table below for dates.
• For XXX will bring sufficient enough lice technicians on the scheduled days of service.

• If lice are detected on a camper during their initial head check and the parent consents to treatment, XXX will provide the full treatment to eliminate all live activity and nits, followed by a thorough comb-out. Proof of infestation will be provided for parents on a tongue depressor inside of a zip lock bag, with their name on the bag.
• To help make sure there is no recurrence of lice, 2 additional 25-minute treatments will be applied on the 6^th and 12^th day following the initial treatment. An XXX technician will provide a schedule to the health centre for each additional required Oil application on days when the cost is the responsibility of the parent, the cost is $375.00.

2. COMPENSATION
   • The services provided by XXX under this Agreement shall be compensated in accordance with the following terms:
     • The total cost for XXX services shall be $[total cost], including travel fees.
     • Payment shall be made in two instalments. Fifty percent (50%) of the total cost specified in this Agreement shall be paid to XXX at least 14 days prior to the first head checking date. The remaining payment shall be completed 14 days before the last service day on XXX
   • In the event of cancellation by either party, the following terms shall apply:
     • If XXX cancels the contract, Crane Lake shall receive a full refund of any amounts paid to XXX  for services that have not been provided.
     • If Crane Lake cancels the contract, a total of 25% of the base of the contract is due within 15 days. This amount consists of supplies ordered for your camp, and compensation for XXX

3. HOURS OF SERVICE
   • Lice Treatment and Prevention Centre shall perform services on-site at XXX  in accordance with the schedule specified in this Agreement.
   • Any changes to the schedule must be agreed upon in writing by both parties. Lice Treatment and Prevention Centre shall not be required to provide services outside of the specified hours of service without prior written agreement.
   • Any additional services provided outside of the specified hours of service will be billed at a rate of [insert hourly rate] per hour, and payment shall be due upon receipt of invoice.

4. TERMINATION
   • Lice Treatment and Prevention Centre understands that COVID-19 is still an important health and safety issue, and resulting impacts continue to evolve. If a Lice Treatment and Prevention Centre employee is experiencing any COVID-19 symptoms and has exposed any other Lice Treatment and Prevention Centre employees assigned to Crane Lake, Lice Treatment and Prevention Centre shall notify XXX  immediately via telephone and in writing. Lice Treatment and Prevention Centre may terminate this agreement and shall provide an immediate reimbursement of funds for any service that has not been provided by Lice Treatment and Prevention Centre in a check form.
   • Crane Lake and Lice Treatment and Prevention Centre have 14 days from the first date of service to terminate this agreement by written notice (email) without any penalties.
   • If the cancellation occurs less than 7 days from the first date of service, the agreement is as follows: If Crane Lake cancels the contract, a total of 25% of the base of the contract is due in 15 days. This amount consists of supplies ordered for your camp and compensation for XXX staff.

5. INFLATION NOTICE
   • Due to the increased demand for the best supplies and overall market increases, the pricing in this agreement is subject to change. Lice Treatment and Prevention Centre will notify Crane Lake of any pricing changes, and such changes shall be effective immediately upon receipt of notice by XXX.
   • XXX may request that Lice Treatment and Prevention Centre provide a detailed breakdown of any price increase, and Lice Treatment and Prevention Centre shall provide such information within a reasonable time.

6. GOVERNING LAW
   • This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of XXX.
   • Any disputes arising out of or related to this agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in XXX, and the decision of the arbitrator shall be final and binding on both parties. Each party shall bear its own costs and expenses associated with the arbitration, including legal fees and expenses..

7. ENTIRE AGREEMENT
   • This agreement contains the entire understanding of the parties hereto and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof.
   • This agreement may not be amended or modified except in writing signed by both parties.

8. NOTICE
   • Any notice, request, demand or other communication required or permitted to be given under this agreement shall be in writing and shall be deemed to have been duly given if delivered personally or sent by certified mail, return receipt requested, or by overnight delivery service, with delivery confirmation, to the addresses set forth below:

• or to such other address or number as either party may designate by written notice to the other party.

9. INFLATION NOTICE
   • XXXX the right to adjust pricing due to market changes and increased demand for supplies.
   • Any changes to pricing will be communicated to XXX  in writing, and will not take effect until agreed upon by both parties.

1. ENTIRE AGREEMENT

• This agreement constitutes the entire agreement between the parties and supersedes all prior understandings, representations, negotiations, and discussions, whether oral or written, between the parties.
• Any amendment to this agreement must be in writing and signed by both parties.

1. GOVERNING LAW AND JURISDICTION

• This agreement shall be governed by and construed in accordance with the laws of the state of XXX.
• Any legal action arising out of or in connection with this agreement shall be brought in the courts of XXX.
