AGENCY AGREEMENT.

This Agency Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2020 (the “effective date”), between Speech Therapy Inc. (Whole Therapy Solutions WTS), (hereinafter referred to as the “Company”), and _____________, Address ____________ (herein referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be for a period _____ [Weeks/Months/Years], commencing on the Effective Date herein.

The services shall be offered between ____________ (start date) and ___________ (end date)

  • SCOPE.
    • The Company shall supply the Client with employees or services for therapy services. The Company employees’ under this Agreement shall work for a period of _______ hours.
    • The Company guarantees that the employees placed shall have a caseload Cap of 55 students by California law.
    • The Client shall choose any of the following employment therapy provisions;
  • Virtual
  • In person
  • Hybrid
  • PAYMENT.

The payment and invoice shall be made as follows;

  1. The Client shall pay the Company ______ Dollars for the services covered under this Agreement. ______% shall be paid to the Company on signing this Agreement.
  2. The rest of the payment shall be made due after receipt of invoice. The Company shall provide the Client with the invoice for services covered herein.
  3. NON-COMPETE.
    1. The Client shall NOT solicit, negotiate, and contact either directly or indirectly, with another prospective company, employer, competitor, customer, client or any other entity that offers the same services as those covered herein during the term of this Agreement.
    1. The Client shall NOT, after termination of this Agreement, solicit, negotiate, contact either directly or indirectly, with another prospective employer, competitor, customer, client or any other entity carrying out the same or similar services as those carried by the Company.
    1. The Client shall not by incitement encourage employees, customers, associates, clients of the Company to terminate their obligations with the Company.
  4. RESCHEDULE.
    1. In the event that the Client may wish to reschedule the speech program, it shall issue the Company a 24 hour written notice on the same. Failure to which, the Company shall retain half of the fees paid and the Client shall loose one half of the session.
    1. In the event that the Company needs to reschedule the session within a period of less than 24 hours to the agreed date/time, the Client shall be entitled to an additional time/session equivalent to half of the session paid for at no extra cost.
  5. CONFIDENTIALITY.

The Company agrees to keep the speech session and any details pertaining the Client that may be communicated to the Company for the purpose of this Agreement confidential. The Company will not use the said information without prior written consent by the Client except;

  • The information is required by law.
  • The information is already in the public domain.
  • LIMITED LIABILITY AND INDEMNITY.

The Client shall not, during the term of this Agreement, be held liable for any injuries sustained by the Company or any of the Company’s employees while carrying out their obligations under this Agreement, as long as the injuries are not in any way due to the Client’s negligence. The Company agrees to indemnify the Client against any claims that may arise from the performance of this Agreement.

  • INDEPENDENT CONTRACTOR.
    • The Company shall be retained as an independent contractor.  The Company shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement.  The Client will not withhold or pay any income tax, social security tax, or any other payroll taxes on the Company” behalf during the term of this Agreement
    • The Company and/or Company’s employee’s understands that they shall not be entitled to any fringe benefits that the Client provides for its employees generally or to any statutory employment benefits, including without limitation worker’s compensation or unemployment insurance.
  • TERMINATION/CANCELLATION.

Either Party can, at any time terminate or cancel this Agreement by issuing a ____ [Days/Weeks] Written Notice to the other Party.

  1. GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    1. This Agreement shall be governed by and construed in accordance with the laws of _________ [State/Country]. Exclusive jurisdiction and venue shall be in _________ [State/Country].
